This offer terms document (“Offer Terms”) made and entered on this ____ day of _______ 2023, shall be deemed as issued under and governed by the terms and conditions set out under the Letter of Alliance dated _____________ (“LOA”) entered into by and between Xiaomi Technology India Private Limited (“Xiaomi”) and ICICI Bank Limited (“ICICI”). Xiaomi and ICICI are hereinafter individually referred to as a “Party”, and collectively as the “Parties”, as the context may require.

1. ELIGIBLE CUSTOMERS: ICICI debit and credit card holders are referred to as “Cardholders”. Cardholders who purchase the Eligible Product from the concerned Authorised Channel during the respective Offer Periods and meet the conditions set out under the concerned Annexures are referred to as “Customers”.

   Offer will not be applicable on Amazon Pay ICICI Bank Credit Card (BIN 431581).

2. OFFERS:

   1. First Offer : Following discount (each a “Discount”) to each Cardholder purchasing the concerned Eligible Product through one of Amazon Authorised Channel, Flipkart Authorised Channel or Mi Authorised Channel (as defined below), as maybe available, during the Offer Period and/or following cashback (each a “Cashback”) to each Cardholder purchasing the concerned Eligible Product through the Offline Channel (as defined below) during the Offer Period by using their ICICI credit cards or through an ICICI debit/credit card EMI Scheme.

   2. Second Offer: Following discount (each a “Discount”) to each Cardholder purchasing the concerned Eligible Product through one of Amazon Authorised Channel or Mi Authorised Channel (as defined below), as maybe available, during the Offer Period by using their ICICI credit cards or through an ICICI debit/credit card EMI Scheme.

   4. Fourth Offer: Discount of ten (10%) percent, subject to a maximum discount of INR 1500 (Rupees One Thousand Five Hundred) to each Cardholder for purchases of the concerned Eligible Product through the Mi Authorised Channel (defined below) during the Offer Period using the ICICI debit/credit card EMI Scheme or discount of ten (10%) percent, subject to a maximum discount of INR 1000 (Rupees One Thousand) to each Cardholder for purchases of the concerned Eligible Product through the Mi Authorised Channel (defined below) during the Offer Period using the ICICI credit card (each a “Discount”).

3. ELIGIBLE PRODUCTS:

   1. First Offer: All products listed under Clause 2.1 purchased during the respective Offer Period from the concerned Authorised Channels. Each product listed at Clause 2.1 is referred to individually as an “EligibleProduct” and collectively as the “Eligible Products”.

   2. Second Offer: All products listed under Clause 2.2 purchased during the respective Offer Period from the concerned Authorised Channels. Each product listed at Clause 2.2 is referred to individually as an “EligibleProduct” and collectively as the “Eligible Products”.

   3. Third Offer: All products listed under Clause 2.3 purchased during the respective Offer Period from the Offline Channel. Each product listed at Clause 2.3 is referred to individually as an “EligibleProduct” and collectively as the “Eligible Products”.

   4. Fourth Offer: All products listed on the Mi Authorised Channel except for the products listed for the First Offer, Second Offer and the Third Offer and the below mentioned product.

a) Redmi A1

Each product is referred to individually as an “EligibleProduct” and collectively as the “Eligible Products”

4. MINIMUM TRANSACTION AMOUNT:

   1. For the First Offer: To avail the Discount/ Cashback on an Eligible Product during the Offer Period, a Cardholder’s transaction using his/her ICICI credit card or debit/credit card EMI scheme must be for the minimum amount identified and set out in Clause 2.1 above (each a “Minimum Transaction Amount”).

   2. For the Second Offer: To avail the Discount on an Eligible Product during the Offer Period, a Cardholder’s transaction using his/her ICICI credit card or debit/credit card EMI scheme must be for the minimum amount identified and set out in Clause 2.2 above (each a “Minimum Transaction Amount”).

   3. For the Third Offer: To avail the Cashback on an Eligible Product during the Offer Period, a Cardholder’s transaction using his/her ICICI credit card or debit/credit card EMI scheme must be for the minimum amount identified and set out in Clause 2.3 above (each a “Minimum Transaction Amount”).

   4. For the fourth Offer; To avail the Discount on an Eligible Product during the Offer Period, a Cardholder’s transaction using his/her ICICI credit card or debit/credit card EMI scheme must be for a minimum amount of Indian Rupees Six Thousand (INR 6000).

5. AUTHORISED CHANNEL

   • www.flipkart.com, the related mobile website and mobile application (“Flipkart Authorized Channel”). Offers will be available on select sellers listed on the Flipkart Authorised Channel.

   • www.mi.com, the related mobile website and mobile application (“Mi Authorized Channel”)

   • www.amazon.in, the related mobile website and mobile application (“Amazon Authorized Channel”). Offers will be available on select sellers listed on the Amazon Authorised Channel.

Offline Channels: Brick and mortar retail outlets branded as ‘Mi Homes’ owned and operated by Xiaomi, or any third party under authorization from Xiaomi, and other brick and mortar storefronts established, maintained and operated by authorized third parties including Mi Preferred Partner, Mi Store, Mi Studio and other authorised retail outlets.


6. OFFER PERIOD

First Offer: 01 May, 2023 00:00 hours to 31 May, 2023 23:59:59 hours.

Second Offer: 1 May, 2023 00:00 hours to 31 May, 2023 23:59:59 hours

Third Offer: 1 May, 2023 00:00 hours to 10 May, 2023 23:59:59 hours

Fourth Offer: 1 May, 2023 00:00 hours to 11 May, 2023 23:59:59 hours

7. CUSTOMERESCALATIONPROCESS: In case of any query pertaining to customer queries/complaints, Customers can contact the ICICI customer care.

8. COMPLETE OFFER DETAILS:

   • Xiaomi shall be responsible for making the Offers available for Cardholders on the Mi Authorised Channel and through the Offline Channels. ICICI shall be responsible for making the Offers available to Cardholders on the Flipkart Authorised Channel and on the Amazon Authorised Channel.

   • The Party making the Offers available during the Offer Periods shall ensure that the terms and conditions set out in the concerned Annexures set out in these Offer Terms are made available and displayed to the Cardholders at the point of sale and in any case prior to the Cardholder’s participation in the respective Offer.

   • The Offer can be availed only once per ICICI card by each Cardholder during the Offer Period.

   • The Offers shall be co funded in the following manner:

     For the First Offer, ICICI and Xiaomi’s share shall be as follows:

     For all other Eligible Products not set out in the above table, ICICI and Xiaomi shall co-fund the discounts/cashback on a 50:50 ratio for the First Offer.

     For the Second Offer, ICICI and Xiaomi’s share shall be as follows:

     • The Fourth Offer shall be co funded by Xiaomi and ICICI on a 50:50 ratio for all discounts extended during the concerned Offer Period.

     • However, it is hereby clarified that the Offers shall be co-funded by ICICI subject to the limit on each type of transaction (each an “Offer Cap”) as follows:

     It is hereby clarified and agreed between the Parties that the aforementioned Offer Cap shall be applicable for all online and offline offers, except for netbanking related offers, that are conducted by the Parties during the AMJ quarter

     • ICICI shall provide the Cashback, as set out in Clause 2 above, to each Customer who purchases an Eligible Product from the Offline Channel under an ICICI debit/credit card EMI scheme or using their ICICI credit card during the respective Offer Periods. ICICI shall ensure that all Cashbacks are credited within ninety (90) days from the end of the concerned Offer Period (“Cashback Disbursement Period”).

     • ICICI shall ensure that the disbursement of the Cashbacks within the Cashback Disbursement Period shall not be linked to or dependent upon the receipt of the payment from Xiaomi of the cashback amount. Xiaomi hereby disclaims all liability arising from or in relation to disbursement of Cashbacks by ICICI to the Customers including all claims by Customers related to the Cashback points, their redemption and/or lapse for any reason whatsoever.

     • ICICI must enter into necessary arrangements with the payment system providers designated by Xiaomi, including but not limited to Pine Labs Private Limited and Ezetap (each a “Payment System Provider”, and collectively the “Payment System Providers”) to process the payments and to give effect to the reconciliation process and understanding set out in this Offer Terms.

       • Xiaomi shall submit a consolidated statement/report to ICICI containing details of total Discounts given to Customers on the Online Channels. ICICI shall validate such report within seven (7) days of receipt of the report from Xiaomi (“Review Period”), failing which such report shall be deemed to have been accepted by ICICI and ICICI shall have no further right to dispute any portion of such report. In the event ICICI disputes any portion of the report during the Review Period, the Parties shall mutually discuss and resolve the same within a reasonable time.

       • Based on the report submitted to ICICI, Xiaomi shall raise on ICICI one (1) invoice for ICICI’s Share of the total Discounts given to Customers on the Mi Authorized Channel, inclusive of applicable GST amount and one (1) invoice for ICICI’s Share of the total Discounts, exclusive of applicable GST, given to Customers on the Amazon Authorized Channel and the Flipkart Authorized Channel. ICICI shall pay such invoices within forty-five (45) days from the date of the invoice.

       • The Payment System Providers shall each submit consolidated statements/reports to ICICI and to Xiaomi, each containing details of total Cashbacks to be disbursed to Customers of the Offline Channels.

       • Xiaomi and ICICI shall both separately validate such reports within fifteen (15) days of receipt of the reports from the Payment System Providers. In the event either ICICI or Xiaomi disputes any portion of the reports during this period, the relevant Parties shall mutually discuss and resolve the same within a reasonable time.

         • If ICICI’s share of the total Discounts paid in accordance with Clause 8.8.2 above, plus ICICI’s Share of the total Cashbacks disbursed to Customers, does not exceed the Offer Cap, the Payment System Providers, as the case may be, shall raise invoices on Xiaomi solely for Xiaomi’s Share of the total Cashbacks; or

         • If ICICI’s share of the total Discounts paid in accordance with Clause 8.8.2 above, plus ICICI’s Share of the total Cashbacks disbursed to Customers, exceeds the Offer Cap, the Payment System Providers, as the case may be, shall raise invoices on Xiaomi for: (Xiaomi’s Share of the total Cashbacks) plus (the difference between the Offer Cap and the sum of the ICICI’s Share of the Discounts and Cashbacks).

       Based on the report submitted to Xiaomi by the Payment System Providers:

       Payment of the invoices referred in this Clause 8.8.5 shall be deemed as complete fulfilment of Xiaomi’s obligations to ICICI under this LOA to co-fund the Offer.

       • Based on the report submitted to ICICI by the Payment System Providers:

         • If ICICI’s share of the total Discounts paid in accordance with Clause 8.8.2 above, plus ICICI’s Share of the total Cashbacks disbursed to Customers, does not exceed the Offer Cap, ICICI shall raise an invoice on the Payment System Providers solely for Xiaomi’s Share of the total Cashbacks; or

         • If ICICI’s share of the total Discounts paid in accordance with Clause 8.8.2 above, plus ICICI’s Share of the total Cashbacks disbursed to Customers, exceeds the Offer Cap, ICICI shall raise an invoice on the Payment System Providers for: (Xiaomi’s Share of the total Cashbacks) plus (the difference between the Offer Cap and the sum of the ICICI’s Share of the Discounts and Cashbacks).

           • This Offer shall be valid only during the Offer Periods set out above, and shall terminate upon termination or expiry of the LOA, howsoever caused.

           • Xiaomi shall not be liable for any claims, costs, expenses, disputes, losses, and damages arising out of or in connection with this Offer.

           • These Offer Terms are issued under the LOA referred above, and except to the extent as mentioned herein, all provisions of the LOA shall remain unchanged and shall continue to be in full force and effect till the expiry or termination of the LOA. In the event of any conflict between the LOA and these Offer Terms, the provisions of these Offer Terms shall prevail to the extent of such conflict.

           • Term(s) used but not defined herein shall have the meaning ascribed to them under the LOA.

         Payment System Providers shall pay the invoice raised by ICICI, within such timelines as mutually agreed to between the Payment System Providers and ICICI.

5. MINIMUM TRANSACTION AMOUNT:

   1. For the First Offer: To avail the Discount on an Eligible Product during the Offer Period, a Cardholder’s transaction using his/her ICICI credit card or debit/credit card EMI scheme must be for the minimum amount identified and set out in Clause 2.1 above (each a “Minimum Transaction Amount”).

   3. For the Third Offer: To avail the Discount on an Eligible Product during the Offer Period, a Cardholder’s transaction using his/her ICICI credit card or debit/credit card EMI scheme must be for a minimum amount of Indian Rupees Six Thousand (INR 6000).

   1. MI AUTHORISED CHANNEL: www.mi.com, the related mobile website and mobile application

   1. The above Offer is by way of a special offer for Cardholders only.

   2. The Offer can be availed only once per ICICI card during the Offer Period, irrespective of the number of products purchased.

   3. Any person participating in the Offer:

      • must be an Indian citizen and resident;

      • must be able to enter into legally binding contracts under Indian Contract Act, 1872;

      • must hold a valid and unexpired card issued by ICICI;

      • must purchase an Eligible Product;

      • must possess proof of age, identity and place of residence.

   4. Offer is not applicable on cash on delivery transactions or net banking transactions.

   5. The Offer cannot be combined with any other offer.

   6. Any person availing this Offer shall be deemed to have accepted these terms and conditions.

   7. Delinquent and over-limit Cardholders will not qualify for this Offer.

   8. This Offer is non-encashable, non-extendable and non-negotiable.
