Terms and Condition

I: DEFINITIONS

• “Alliance Partner” shall mean “Amazon.in”, who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
• “Customer/s” for the purpose of this Offer shall mean a person who is using ICICI bank holds a valid VISA/MASTER Credit Card issued by ICICI Bank and who has received communication from ICICI Bank with respect to the Offer.
• “Card holder” shall mean a customer to whom the Facility has been granted by virtue of such customer holding a Card.
• "Card" shall mean Credit card which has been issued by ICICI Bank and is valid and subsisting during the Program Period.
• “Offer” shall mean instant discount/benefit provided by the "Alliance partner" on purchase of Products/Services using ICICI Bank Credit
• “Offer Period” shall mean the period commencing on every Wednesday till September 25, 2019.
• "APP" shall mean the mobile app of the "Alliance partner"
• Void Transactions"shall mean wherein the transaction has taken place but has been rejected /cancelled/ been unsuccessful at the ""website"" of the "Alliance partner".
• "Primary Terms and Conditions" shall mean the terms and conditions applicable to ICICI Bank’s Credit Card facility/service.
• “Products/Services” shall mean the goods/benefits/facilities offered by the Alliance Partner.

All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

Terms and condition subscribed by Alliance partner:

• This limited period promotional offer, Amazon Flights ICICI Bank September offer ("Offer") is provided to you by ICICI Bank Limited ("ICICI") and Amazon Pay (India) Private Limited ("Amazon") collectively. The Offer is made available to you by Amazon Seller Services Private Limited, on the www.amazon.in and the corresponding mobile site and mobile application ("Amazon.in"), in respect of bookings of flights / airline tickets on Amazon.in.
• These Offer terms and conditions ("Offer Terms") are in addition to the Amazon.in Conditions of Use & Sale and Privacy Notice to which you agree to by using Amazon.in. In the event of any conflict between the Conditions of Use & Sale and these Offer Terms, these Offer Terms will prevail for purposes of this Offer.
• All residents of India holding a valid and current: (a) Amazon Pay co-branded credit card issued by ICICI ("Amazon ICICICard"), and (b) other credit cards issued by ICICI ("Non-AmazonICICICard"), issued in India (each such person, a "Cardholder"). Amazon ICICI Cards and Non-Amazon ICICI Cards are collectively referred to as "Cards", for these Offer Terms. This Offer is, however, not available on any corporate or commercial cards issued by ICICI.
• The offer is valid on every Wednesday of the week during the month of September, 2019 commencing from September 4, 2019 ("Offer Period"), unless revoked or extended by Amazon and/or ICICI, without any prior notice and without liability.
• Under this Offer, any Cardholder who:
• books a flight / airline ticket on Amazon.in ("Booking") during the Offer Period, for minimum value of INR 5,000; and
• makes the payment for the Booking transaction using a Credit Card (Amazon ICICI Card or Non-Amazon ICICI Card),
• will be eligible to receive cashback on amount of the Booking transaction, as per the following:

• Under this Offer, the cashback will be provided to the Cardholders in the form of Amazon gift cards (issued by Qwikcilver Solutions Private Limited), redeemable as Amazon Pay balance associated with the Amazon.in account of the Cardholder. The use and redemption of Amazon gift cards and the use of Amazon Pay balance is subject to applicable terms and conditions.
• The Offer can be availed once on each Card (i.e. once on Amazon ICICI Card and once on Non-Amazon ICICI Card), during the Offer Period.
• The relevant amount of cashback under this Offer will be provided to Cardholders within 20 days of completion of the Booking transaction.
• A Cardholder will not be eligible to receive the cashback under this Offer on cancellation of the Booking transaction (whether all tickets or some tickets booked under the Booking transaction) for any reason, by the Cardholder, by Amazon, by the concerned airline or by Cleartrip Private Limited ("Cleartrip"). On such cancellation, if the Cardholder has received cashback, the relevant amount of the cashback will be deducted from the amount of the Booking transaction proposed to be refunded. For the avoidance of doubts, the mode of refund will be governed by the applicable terms.
• A Booking transaction for which payment is completed using: (a) multiple payment methods, except for Booking transaction where payment is made using a Card and Amazon Pay balance (i.e. such Booking transaction will be considered to be an eligible transaction), (b) a credit card other than any of the Cards, or (c) a payment method other than a Card (for instance, debit card, net-banking, Amazon Pay balance (if the complete payment is made using Amazon Pay balance) or UPI), will not be eligible to avail this Offer. It is clarified that if the payment for a Booking transaction is made using both Amazon ICICI Card and Non-Amazon ICICI Card, the Cardholder will be eligible to receive cashback under this Offer. In case of (a) above where both a Card and Amazon Pay balance are used to pay for the Booking transaction, the Cardholder will be eligible to avail this Offer only if payment made using Card is at least INR 5,000.
• ICICI and/or Amazon reserve the right, at any time, without prior notice, without liability and without assigning any reason, to add/alter/modify/change or vary all of these Offer Terms or to replace, wholly or in part, this Offer by another offer, whether similar to this Offer or not.
• This Offer is available only on Booking of airlines / flight operators available on Amazon.in.
• Under no circumstances will the cashback under this Offer will be settled in cash by Amazon or ICICI.
• ICICI and Amazon reserve the right to disqualify a Cardholder from the cashback of the Offer if any fraudulent activity is identified as being carried out for the purpose of availing the Offer.
• By participating in this Offer, every Cardholder expressly agrees that Amazon or any of its affiliates will not be liable or responsible for any loss or damage whatsoever that a Cardholder may suffer, directly or indirectly, in connection with this Offer, including but not limited to that associated with the Booking transaction made on Amazon.in.
• Any queries or issues in relation to this Offer will be entertained by Amazon only up to 1 year from the start of the Offer Period and can be raised with at Amazon customer support. Post this date no communication will be entertained regarding this Offer.
• All disputes arising between Cardholders and Cleartrip in relation to the Booking or any claim related thereto will be resolved inter se between Cardholders and Cleartrip in accordance with the applicable terms, and Amazon or Amazon Seller Services Private Limited or ICICI will not (nor will be liable or obliged to) mediate or resolve any dispute or disagreement between them.
• All disputes between Cardholders and ICICI in relation to the Cards or any claim related thereto will be resolved inter se and Amazon will not (nor will be liable or obliged to) mediate or resolve any dispute or disagreement between them. Amazon or Amazon Seller Services Private Limited will not be responsible / liable for handling, entertaining or resolving any queries or grievances relating to the Cards.
• Nothing contained in these Offer Terms amounts to a commitment by Amazon and/or ICICI to conduct further, similar or other offers.
• This Offer is by way of a special offer for the Cardholders. Nothing contained herein shall prejudice or affect the terms and conditions of the card member agreement between a Cardholder and ICICI.
• This Offer cannot be clubbed with any other offer available on Amazon.in.
• Decisions of ICICI and Amazon regarding this Offer shall be final and binding.
• Delinquent and over-limit credit card members / Cardholders will not qualify for this Offer
• These Offer Terms are governed by the laws of India. Any matter or dispute arising out of this Offer shall be subject to the exclusive jurisdiction of the courts at New Delhi.
• Cardholders are not bound in any way to participate in this Offer. Any participation is voluntary. This Offer is being made on a best effort basis.
• Any Cardholder availing this Offer shall be deemed to have accepted these Offer Terms.

Terms and Conditions prescribed to ICICI Bank Card Holders:

• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services offered by the Alliance Partner. Any dispute or claim regarding the services and must be resolved by the Card Holder/s with the alliance partner directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any products or services availed by the Card Holder/s under the alliance offered by the Alliance Partner.
• ICICI Bank reserves the right to disqualify the Alliance Partner or the Card Holder/s from the benefits of the Offer, if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the said Offer or otherwise by use of the Card.
• The Card Holder/s shall be bound by the terms and conditions stipulated by the Alliance Partner in this regard.
• Card Holder/s shall also be bound by the terms and conditions stipulated by the Alliance Partner in this regard.
• No substitutions or exchange of Offer, other than what is detailed in the communication sent to the Card Holder/s shall be allowed. However, ICICI Bank reserves the right to substitute and/or change the Offer or any of them, without any intimation or notice, written or otherwise to the Card Holder/s.
• Participation in the Offer by the ICICI Bank Card Holder(s) is on a voluntary basis.
• ICICI Bank Card Holder(s) may avail the Offer during the Offer Period or until the stock lasts, whichever is earlier.
• The Offer is non-transferable, non-binding and non-encashable.
• The Offer is not valid for Void Transactions
• ICICI Bank does not guarantee and make any representation about the usefulness, worthiness and/or character of the discount / benefit or of the Products/Services under the Offer provided by the Alliance Partner.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any goods/ services / offer availed by the Card Holder/s under the alliance offered by the alliance partner.
• Card Holder/s shall be bound by the terms and conditions stipulated by the alliance Partner in this regard.
• ICICI Bank shall not be held liable for any delay or loss that may be caused in delivery of the goods and services.
• The Offer is not available wherever prohibited and / or on merchandise / products / services for which such alliances cannot be offered for any reason whatsoever.
• If the ICICI Bank Cardholder ceases to be so at any time during the Offer Period, then all the benefits under the Offer shall lapse and shall not be available to such ICICI Bank Cardholder.
• Nothing contained herein shall constitute or be deemed to constitute an advice, invitation or solicitation to purchase any products/ services of ICICI Bank / third party.
