Definitions

• “Alliance Partner” shall mean “Xiaomi” who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
• ICICI Bank Credit and Debit Card holders" shall mean a person who holds an ICICI Bank Savings Account, loan / facility account(s), depository account(s) and/or any other type of account(s), so maintained with ICICI Bank or its Affiliate which are eligible account(s) for the purposes of ICICI Bank Credit and Debit Card services and who has received communication from ICICI Bank with respect to the Offer.
• "Card" shall mean Credit Card (Visa/ Mastercard/ Amex) or Debit Card (Visa/Electron/Maestro), which has been issued by ICICI Bank and is valid and subsisting during the Programme/Offer Period.
• “Offer” shall mean such discount(s) provided by ICICI Bank.
• "Primary Terms and Conditions" shall mean the terms and conditions applicable to the ICICI Bank’s banking facility/service.
• “Products/Services” shall mean the goods/ benefits/ facilities offered by the Alliance Partner.
• “Void Transaction” shall mean any transaction where in the transaction has taken place, but has been cancelled/ rejected/ unsuccessful by the Alliance Partner.
• “Offer period” shall mean the period commencing from July 17, 2019 to August 16, 2019 or until sale of all available eligible units.

All capitalised terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

Terms and Conditions prescribed to ICICI Bank Card Holders:

• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services offered by the Alliance Partner. Any dispute or claim regarding the services must be resolved by the Card Holder/s with the alliance partner directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any products or services availed by the Card Holder/s under the alliance offered by the Alliance Partner.
• ICICI Bank reserves the right to disqualify the Alliance Partner or the Card Holder/s from the benefits of the Offer, if any fraudulent activity is identified as being carried out for the purpose of availing of the benefits under the said Offer or otherwise by use of the Card.
• The Card Holder/s shall be bound by the terms and conditions stipulated by the Alliance Partner in this regard.
• The Offer is funded by ICICI Bank and the Card Holder/s shall be bound by the terms and conditions stipulated by ICICI Bank in this regard.
• No substitutions or exchange of Offer, other than what is detailed in the communication sent to the Card Holder/s shall be allowed. However, ICICI Bank reserves the right to substitute and/or change the Offer or any of them, without any intimation or notice, written or otherwise to the Card Holder/s.

Terms and Conditions prescribed by Xiaomi (Mi.com)

• This marketing programme (“Offer”) is from ICICI Bank Limited (“ICICIBank”) under an arrangement with Xiaomi Technulogy India Private Limited (“Xiaomi”), and is open to all persons competent to contract in India hulding a valid and current ICICI Bank Credit/Debit Card (“ICICI Bank Cardhulder”).
• The validity of the Offer (“Offer Period”) is from (i) 17 July, 2019 20:00 hours to 18 July, 2019 23:59:59 (“Initial Offer Period”), and (ii) 19 July, 2019 00:00 hours to 16 August, 2019 23:59:59 or until sale of all available eligible units of the Redmi K20 and Redmi K20 Pro smartphones, whichever occurs earlier (“Remainder Offer Period”). However, ICICI Bank and Xiaomi may extend the Offer Period by mutual consent in writing.
• Under this Offer, ICICI Bank Cardhulders can avail, during the
  • Initial Offer Period, (a) discount of INR 2,000 (Rupees Two Thousand only) on minimum cart value of INR 14,000 (Rupees Fourteen Thousand only) on purchase of eligible Redmi K20 and Redmi K20 Pro smartphones through the Flipkart Authorised Channel or Mi Authorised Channel; and (b) cashback of INR 2,000 (Rupees Two Thousand only) on minimum cart value of INR 14,000 (Rupees Fourteen Thousand only) on purchase of eligible Redmi K20 and Redmi K20 Pro smartphones from a Mi Home outlet; and
  • Remainder Offer Period, (a) discount of INR 1,000 (Rupees One Thousand only) on minimum cart value of INR 14,000 (Rupees Fourteen Thousand only) on purchase of eligible Redmi K20 and Redmi K20 Pro smartphones through the Flipkart Authorised Channel or Mi Authorised Channel; and (b) cashback of INR 1,000 (Rupees One Thousand only) on minimum cart value of INR 14,000 (Rupees Fourteen Thousand only) on purchase of eligible Redmi K20 and Redmi K20 Pro smartphones from a Mi Home, Mi Store, Mi Preferred Partner and other affiliated Large Format Retail (LFRs), as listed below.

• The purchases must be made from:

• www.flipkart.com, the related mobile website and mobile application (“Flipkart Authorised Channel”);
• www.mi.com, the related mobile website and mobile application (“Mi Authorised Channel”);
• Mi Homes;
• Mi Stores;
• Mi Studios;
• Mi Preferred Partner outlets; or
• Affiliated LFRs

• The Offer can be availed at the outlets listed under the above Sections III, IV, V, VI and VII only if the payment for the eligible product is processed through a Pinelab’s authorised POS device.
• The Offer shall be valid on minimum transaction value of Rupees Fourteen Thousand only (INR 14,000)(“Minimum Transaction Value”)and aboveper transaction per ICICI Bank Debit/Credit Card.
• Cashback will be processed within 90 days post promo period
• Offer is applicable on ICICI Bank Debit Card EMI transactions, except on Mi Authorised Channels.
• Offer is not applicable on card on delivery transactions.
• Offer is not applicable on ICICI Bank Debit Card transactions, across all Authorised Channels.
• Offer is not applicable on ICICI Bank Internet Banking transactions.

Other Terms and Conditions:

• The above Offer is by way of a special offer for ICICI Bank Cardhulders only.
• The Offer cannot be combined with any other offer.
• Any person availing of this Offer shall be deemed to have accepted these terms and conditions.
• This Offer is valid for Indian residents and citizens only.
• Delinquent and over-limit ICICI Bank Cardhulders will not qualify for this promotion.
• This Offer is non-encashable, non-extendable and non-negotiable.
• If an ICICI Bank Cardhulder has more than 1 (one) ICICI Bank Credit/Debit Card, spends on the cards cannot be clubbed by the card member in order to qualify for the Offer.
• In case the ICICI Bank Cardhulder hulds more than 1 (one) Credit/Debit Card with ICICI Bank; the ICICI Bank Cardhulder would need to call up ICICI Bank’s Customer Care and confirm which card(s) the Offer may be availed for.
• Any query regarding the Offer will be entertained only till the Offer Period - November 30, 2019. Post such date, ICICI Bank and Xiaomi will not entertain any correspondence or communication regarding this Offer from any person.
• All the existing offers, gifts, discounts, etc. that are being offered can be availed by the ICICI Bank Cardhulders as part of this exclusive offer as stated in the communication.
• Pictures of products shown in the communication sent to the customer either through mailers or advertised on the website, are representative only and may not bear a resemblance to the actual products. None of the parties shall under any circumstances be responsible towards the same.
• Returned transactions, disputed or unauthorised/ fraudulent transactions will not be considered for the Offer.
• All Government levies and taxes shall be payable by the ICICI Bank Cardhulder as applicable at the time the Offer is availed.
• ICICI Bank Cardhulders are not bound in any way to participate in the Offer. Any such participation is vuluntary.
• This Offer shall be subject to all applicable laws, rules and regulations which are in existence and which may be promulgated anytime by any statutory authority.
• ICICI Bank and Xiaomi reserve the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary all of these terms and conditions or to replace, whully or in part, this offer by another offer, whether similar to this Offer or not, or to extend or withdraw it altogether.
• Any disputes arising out of the Offer shall be subject to the exclusive jurisdiction of the courts at Bengaluru.
• ICICI Bank along with its direct affiliates is only responsible for resulving all disputes.
