Terms and Condition

I. DEFINITIONS 

• “Alliance Partner” shall mean ST AANALYTICSIQ CONSULTING SERVICE P L, who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
• “ICICI Bank Net Banking User” shall mean a person who holds an ICICI Bank savings account, loan / facility account(s), depository account(s) and/or any other type of account(s), so maintained with ICICI Bank or its Affiliate which are eligible account(s) for purposes of ICICI Bank Net Banking Service(s) and who has received communication from ICICI Bank with respect to the Offer.
• "ICICI Bank Net Banking Service(s)" shall mean internet banking services of ICICI Bank offered to ICICI Bank Net Banking User.
• "Card" shall mean Credit card(VISA/ Mastercard/ Amex) or Debit card (VISA/Electron/Maestro), which has been issued by ICICI Bank and is valid and subsisting during the Program/Offer Period.
• "Card Holder/s" shall mean such customer/s to whom a Card has been issued and who is authorized to hold the Card.
• "Pockets" shall mean the Pockets by ICICI Bank Digital banking mobile application on which both existing ICICI bank customers and non ICICI bank customers can get onboarded. For existing ICICI Bank customer/s, onboarding can be done through their ICICI Bank internet banking user ID and password whereas for non ICICI Bank users, onboarding can be done by entering minimum details such as mobile number, name and address along with pin code, and a new ICICI Bank user ID and password can be created.
• "Pockets Wallet" It refers to ICICI Bank virtual semi closed prepaid instrument having a monthly transaction limit of Rs, 10000/-.
• "Pockets Application" refers to Pockets mobile application of ICICI Bank which can be downloaded from iOS App Store and Google Play store for Android mobile operating systems to avail products and services offered by ICICI Bank through this mobile application
• "Cash Back" shall mean the amount credited back to the Card Account, calculated as a percentage of the transaction amount arrived at on the basis of the approval/authorization code appearing on the chargeslip generated upon making a Retail Purchase.
• "Program/“Offer” shall mean such cashback(s)/ discount(s) /benefit(s) provided by the Alliance Partner on purchase of Products/Services using ICICI Bank Net Banking Services, during the Offer Period on the Website.
• “Program/Offer Period” shall mean the period commencing from1st June 2017 to 30^th September 2017, both days inclusive.
• "Primary Terms and Conditions" shall mean the terms and conditions applicable to e ICICI Bank’s internet banking facility/service.
• “Products/Services” shall mean the goods/benefits/facilities offered by the Alliance Partner.
• “Website” shall mean the following website of the Alliance Partner TZARO.com.
• “Void Transaction” shall mean any transaction wherein the transaction has taken place but has been canceled /rejected /unsuccessful by the Alliance Partner.

All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail. 

II. OFFER

• The availability of the offer is based on the following criteria: 

• To avail benefits under the Offer the ICICI Bank Net Banking User/Cardholder shall be required to make a transaction/purchase on the Website using ICICI Bank Net Banking Service(s) during the Offer Period from from June 01, 2017 to September 30, 2017
• The Offer is valid only for select set of ICICI Bank Net Banking User(s)/Cardholder(s) selected at the sole discretion of ICICI Bank and who have received communication about the Offer from ICICI Bank, during the Offer Period.
• Participation in the Offer by the ICICI Bank Net Banking User/s/Cardholder/s is on a voluntary basis.
• The ICICI Bank Net Banking User/s/Cardholder/s may avail the Offer during the Offer Period or until the stock lasts, whichever is earlier.
• This Offer cannot be clubbed with any other Offer that may be made available to the ICICI Bank Net Banking User/s/Cardholder/s by the Alliance Partner.
• The Offer is non-transferable, non-binding and non-encashable.
• The Offer is not valid for Void Transactions

• Make your Payment through ICICI Bank Net Banking/ Pockets wallet/ ICICI Bank Credit Card or ICICI Bank Debit Card.

 IV. TERMS PRESCRIBED BY THE ALLIANCE PARTNER 

• This offer (“Offer”)is made available to you by ICICI Bank (“Bank”) along with M/s. Analyticsiq Consulting Services Private Limited, operating through its website www.tzaro.com (“TZARO”). This Offer is open for all residents of India holding a valid and current ICICI Bank Debit Card or ICICI Credit Card or holding a valid/active ICICI Bank Account, with no outstanding of more than 30 days (hereinafter collectively referred to as “Cardholder(s)”). 
• This Offer can be utilized by only those Cardholder(s), who receives an e-mail from Bank regarding the said Offer, along with a unique code, which will be used by the Cardholder(s) during any purchase made from the Website (defined below). Each such unique code received by the Cardholder(s) shall have a validity period of 60 days, as detailed under the respective e-mails received by the Cardholder(s) from the Bank. The said e-mail will be sent to the select Cardholder(s) exclusively by the Bank in its sole discretion. 
• This Offer is made available on purchases made only on tzaro.comor the mobile application or mobile site thereof (“Website”) operated by Analyticsiq Consulting Services Private Limited (“TZARO”). This Offer shall not be clubbed with any other offer(s) that may be available on the Website at the time of purchase. 
• Under this Offer, any Cardholder(s) who, during the Offer Period, purchases any products from the Website get an instant discount of minimum 25% on the listed price of the product on the Website. The discount will vary from product to product; however, said discount shall not be less than 25% of the MRP or the listed price of the product, as available on the Website. Cardholder(s) will get an instant discount of relevant amount at the time of each purchase. 
• These present terms and conditions (“Offer Terms”) are in addition to the Website T&C’s, Terms of Use and Privacy Policy, to which the Cardholder(s) would have to agree by registering/using the Website. In the event of any conflict between the T&C’s, Terms of Use and these Offer Terms, these Offer Terms will prevail, only for the purpose limited to this Offer. Having said so, it is clarified that the shipping facility requested by any Cardholder under this Offer shall be only available within the designated territories within India as stipulated by TZARO in the Website T&C’s. Also The Offer is applicable on all purchases, i.e. prepaid purchases as well as Cash on Delivery (COD) items subject to the restriction on the specific products that are not made available on COD basis as per the discretion of TZARO and/or Website T&C’s. 
• The validity of the Offer shall be until such time that the Bank has an arrangement with TZARO and for each Cardholder(s) the effective term shall be restricted to the validity of the unique code, as mentioned in the e-mail shared by the Bank at their sole discretion (“Offer Period”). The Offer will be subject to termination or changes as may be stipulated by TZARO and/or the Bank, for which no prior notice or liability shall be subsisting towards the Cardholder(s). 
• The discount under the Offer is valid only on the MRP of the products indicated on the Website. The discount will not be applicable upon ancillary services such as ‘gift wrap’ charges, delivery/shipping charges, etc. (wherever applicable). 
• All or any government levies like Sales Tax, TDS, any Local Tax, Octroi etc., shall be payable by the Cardholder(s) (as may be applicable) at the time the order is made. 
• Purchases under taken by the Cardholder(s) beyond validity of the unique code and without using a ICICI Bank Card or ICICI Bank Account shall not be included in the Offer. 
• In a scenario where the Cardholder(s) either returns the product/cancels the transaction or a transaction is cancelled by the TZARO, only the charged/ deducted/debited amount shall be refunded to the Cardholder(s) as per the TZARO’s cancellation/return policy AND the said Cardholder shall not be entitled to demand discount towards another transaction. Also under no circumstance will the discount being offered under this Offer be demanded by the Cardholder(s) to be encashed. 
• TZARO and/or the Bank will not be responsible for invalid transactions or transactions that fail due to network or such uncontrolled errors. 
• Pictures of products shown in the communication sent to the customer either through mailers or advertised on the Website, are representative only and may not bear a resemblance to the actual products. The TZARO shall not be responsible towards the same under any circumstances. The TZARO is not making any express or implied representation or guarantee regarding the price and quality of the products. By participating in this Offer, every Cardholder(s) expressly agrees that TZARO or any of its affiliates, employees, directors, etc. will not be liable or responsible for any loss or damage whatsoever that a Cardholder(s) may suffer, directly or indirectly, in connection with this Offer including but not limited to that associated with his/ her use or delivery or misuse of the product. 
• The participation in the Offer is voluntary and any purchase on Website using ICICI Card/Account shall be deemed as acceptance of the terms and conditions mentioned herein by the Cardholder/user of the ICICI Card/Account. 
• That Bank does not endorse any of the products or brands being offered under this Offer and will not accept any liability pertaining to the quality, merchantability, fitness, delivery or after sales service of such products. 
• The TZARO and Bank reserves the right to disqualify the Cardholder(s) from the benefits of the Offer if any fraudulent activity is identified/detected/reported. 
• TZARO and the Bank hold the exclusive right at its sole discretion to refuse or deny the Offer to any Cardholder(s). The Cardholder(s) shall become ineligible to participate in this Offer if his/her card/account is cancelled/closed before the expiry of /during the Offer Period. 
• Products offered under this Offer are subject to availability at all times and TZARO in no circumstances shall be liable for non-availability of any of the products. 
• TZARO and the Bank reserve the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary any or all of these Offer Terms or to replace, wholly or in part, this Offer by another offer, whether similar to this Offer or not, or to extend or withdraw it altogether. 
• The above Offer is by way of a special offer and nothing contained herein shall prejudice or affect the terms and conditions of the card member agreement the Cardholder(s) have with the Bank. The terms of the above schemes shall be in addition to and not in derogation of the terms contained in the card member agreement. 
• The Offer shall be subject to usual force majeure events and on occurrence of such event, the Offer may be withdrawn at the discretion of TZARO/Bank. 
• All disputes between the Cardholder(s) and Bank will be resolved inter se and TZARO will not (nor will be liable or obliged to) mediate or resolve any dispute or disagreement between the Cardholder(s) and Bank. 
• These Offer Terms are governed by the laws of India and the courts at New Delhi will have exclusive jurisdiction over any matters/ disputes arising out of or in relation to these Offer Terms. 

V. GENERAL TERMS PRESCRIBED BY ICICI BANK

• Terms prescribed by for ICICI Bank Netbanking Users & Pockets wallet 

• ICICI Bank does not guarantee and make any representation about the usefulness, worthiness and/or character of the discount / benefit or of the Products/Services under the Offer provided by the Alliance Partner.
• Any tax or other liabilities or charges payable to the government or any other statutory authority/body or any participating establishment, which may arise or accrue to the ICICI Bank Net Banking User/s/Pockets wallet due to provision of the Offer, shall be to the sole account of the ICICI Bank Net Banking User/s/Pockets wallet. Tax deducted at source, if any, on the monetary value of the Offer shall be payable by the ICICI Bank Net Banking User/s/Pockets wallet .
• All issues / queries / complaints / grievances relating to the Offer, if any, shall be addressed to Alliance Partner directly at CS@aanalyticsiq.com without any reference to ICICI Bank. The same shall be addressed by Alliance Partner, only up to a period of 10(ten) days after the date of transaction/purchase.
• The existence of a dispute, if any, regarding the Offer shall not constitute a claim against ICICI Bank and shall be addressed directly by the Alliance Partner.
• All communication / notices with regard to this Offer should be addressed to Alliance Partner: address 353/3 Jailal House, Bijwasan, Delhi 110061.
• The Offer is not available wherever prohibited and / or on products / services for which such offers cannot be made available for any reason whatsoever.
• ICICI Bank/Alliance Partner reserve the right to modify/ change all or any of the terms applicable to the Offer without assigning any reasons or without any prior intimation whatsoever. ICICI Bank also reserves the right to discontinue the Offer without assigning any reasons or without any prior intimation whatsoever.
• If the ICICI Bank Net Banking User/Pockets wallet ceases to be a ICICI Bank Net Banking User/Pockets wallet at any time during the currency of the Offer Period, all the benefits under the Offer shall lapse and shall not be available to the ICICI Bank Net Banking User/Pockets wallet.
• Terms and conditions prescribed ICICI bank Credit & Debit Card Holders
• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services or the assured gifts / prizes offered by the Alliance Partners. Any dispute or claim regarding the goods, services and assured gifts / prizes must be resolved by the Card Holder/s with the Alliance Partners directly without any reference to ICICI Bank.

• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any goods/ services / assured gifts / prizes availed by the Card Holder/s under the Program/Offer offered by the Alliance Partner/s.
• ICICI Bank reserves the right to disqualify the Alliance Partner/s or Card Holder/s from the benefits of the Program if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the Program or otherwise by use of the Card.
• The cash back/ discount /assured gift / prize is sponsored by the Alliance Partner and the Card Holder/s shall be bound by the terms and conditions stipulated by the Alliance Partner in this regard.
• ICICI Bank shall not be held liable for any delay or loss that may be caused in delivery of the goods and services or the assured gifts / prizes.
• The Program/Offer is not available wherever prohibited and / or on merchandise / products / services for which such programs cannot be offered for any reason whatsoever.
