• “Alliance Partner” shall mean Novi Digital Entertainment Private Limited, who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
• “Customer/s” for the purpose of this Offer shall mean a person who holds a valid VISA/MASTER Credit Card issued by ICICI Bank and who has received communication from ICICI Bank with respect to the Offer.
• “Cardholder” shall mean a customer to whom the facility has been granted by virtue of such customer holding a Card.
• "Card" shall mean credit or debit card, which has been issued by ICICI Bank and is valid and subsisting during the Program Period.
• “Offer” shall mean discount/benefit provided by the Alliance partner on purchase of Products/Services using ICICI Bank credit card
• “Offer Period” shall mean the period from August 10, 2020 to December 31, 2020.
• "Website" shall mean the website of the Alliance Partner i.e. https://campaigns.hotstar.com/partner-icici
• "Primary Terms and Conditions" shall mean the terms and conditions applicable to ICICI Bank’s Internet banking facility/service.
• “Products/Services” shall mean the goods/benefits/facilities offered by the Alliance Partner.
• “Void Transactions" shall mean wherein the transaction has taken place but has been rejected /cancelled/ been unsuccessful at the Website.

All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

Offer: Bonus ad impressions equivalent to 100% of the advertisement fee for the eligible campaign up to a maximum limit of Rs. 50,000.

1. Offer is valid for an Eligible Campaign booked by a New Advertiser on the Site. This offer is not applicable on any Campaigns for Live sports.
2. A New Advertiser shall mean a user which meets the following conditions: (i) user is a verified customer of the Partner; (ii) user is not an agency and the Campaign is directly for the user’s goods and services; (iii) user has registered on the Site and created the Business Account for the first time on the respective landing page created by us for such customers of the Partner; (iii) user has complied with the Terms available at brands.hotstar.com and paid the Advertising Fee in accordance with the Terms for an Eligible Campaign; and (iv) user has not previously booked any Campaign on the Platform: (a) directly or indirectly through an agency; and (b) through the Site. For the purposes of this promotion, a Partner shall mean customers of ICICI Bank.
3. An Eligible Campaign shall mean the first non-Live sports Campaign by a New Advertiser which meets the following conditions: (i) The Campaign should be booked before December 31st, 2020 (“Offer Reference Date”) and the Campaign Period should commence prior to the Offer Reference Date; (ii) the Advertising Creative(s) for the Campaign have been approved by Novi; (iii) the Ad Impressions booked pursuant to the Campaign should be of a minimum value of Rs. 25,000/- (Rupees Twenty five Thousand only); and (iv) the Advertising Fee for the Campaign has been paid by a New Advertiser in full and no disputes are raised in respect of payment of such Advertising Fees.
4. Upon a Campaign qualifying as an Eligible Campaign, as determined by us in our sole discretion, we will notify the New Advertiser to start the process of setting up the Offer.
5. The Offer entitles the New Advertiser for Bonus Ad Impressions on the Platform. Bonus Ad Impressions shall mean additional Ad Impressions of a value equivalent to hundred percent of the Advertising Fee for the Eligible Campaign, subject to a maximum of Rs. 50,000.
6. The Bonus Ad Impressions shall be: (i) computed at the same rates as the Ad Impressions for the Eligible Campaign; (ii) delivered during the course of the period of the Eligible Campaign; (iii) delivered on the same Advertising Creative as approved for the Eligible Campaign; (iv) delivered to the same target audience/user as notified as part of the Campaign Details for the Eligible Campaign; and (v) delivered on the same event/property as the Eligible Campaign.
   Example: Where (i) the Advertising Fee for an Eligible Campaign is Rs. 24,999 or below, the New Advertiser shall not be eligible for any Bonus Ad Impressions of any amount ; (ii) the Advertising Fee for an Eligible Campaign is upto Rs. 50,000, the New Advertiser shall be eligible for Bonus Ad Impressions of an amount equivalent to 100% of the value of the campaign, (iii) the Advertising Fee for an Eligible Campaign is Rs. 50,001 or more, the New Advertiser shall be eligible for Bonus Ad Impressions of an amount equivalent to Rs. 50,000 only.
7. For the sake of clarity, the Bonus Ad Impressions shall be provided only for the Eligible Campaign and cannot be split across different Campaigns of the New Advertiser.
8. The Eligible Campaign and delivery of the Ad Impressions shall be executed solely through the Site. For the Bonus Ad Impressions for an Eligible Campaign we will reach out with the New Advertiser to verify and execute the Bonus Ad Impressions. The New Advertiser agrees and undertakes to execute all such documents/proposals/undertakings as may be required by Novi for the purpose of delivery of the Bonus Ad Impressions during the period of the Eligible Campaign. Novi shall not be responsible for, nor incur any liability for any delay/failure to execute the Bonus Ad Impressions in case of a delay/failure on the part of the New Advertiser to comply, to Novi’s satisfaction, with the requirements set out herein and in the Terms.
9. New Advertiser shall not cancel/pause an Eligible Campaign. In the event an Eligible Campaign is cancelled/paused, then the New Advertiser shall not be entitled to the Bonus Ad Impressions, nor any refund of the Advertising Fee paid by the New Advertiser.
10. The tracking of the progress for the Eligible Campaign shall be as per the Terms. We will separately provide a report of the Bonus Ad Impressions delivered.
11. A New Advertiser is eligible for one-time Bonus Ad Impressions basis the Eligible Campaign.
12. The Offer/ Offer benefits are non-transferable, non-negotiable and cannot be encashed.
13. Incomplete / rejected / invalid / returned /disputed/ unauthorized/fraudulent transactions relating to an Eligible Campaign will not be considered for the Offer.

15. Any dispute relating to the Offer or these terms and conditions shall be subject to the jurisdiction of the courts of Mumbai only.
16. Novi reserves the right to disqualify the New Advertiser from the benefits of the Offer (including the Bonus Ad Impressions), at our sole discretion, including if any fraudulent activity is identified as being carried out by the New Advertiser for the purpose of availing the benefits under the Offer.
17. Any taxes, duties, levies or liabilities or charges payable to the government or any other authority or body, if any, shall be borne directly by the New Advertiser and Novi will not be liable in any manner whatsoever for any such taxes, duties, levies or other statutory dues.
18. Novi reserves the absolute right at any time to add, alter, withdraw, modify or change or vary any or all the terms and conditions of the Offer at its discretion and the same shall be binding on the New Advertiser at all times. Novi also reserves the right to discontinue the Offer without assigning any reasons or without any prior intimation whatsoever to the New Advertiser.
19. The Offer shall be subject to force majeure events and on occurrence of such event, the Offer may be withdrawn at the discretion of Novi.
20. Novi shall not be liable for any loss or damage arising due to a force majeure event.
21. Novi shall not be liable to for any indirect, punitive, special, incidental or consequential damages arising out of or in connection with the Offer.
22. Nothing expressed or implied in the Offer shall in any way waive or amend any of the applicable Terms.
23. This Offer is subject to applicable law and regulations and the said Offer would be modified / discontinued based on the prevailing law /regulation at any point of time and Novi shall not be under any liability or obligation or continue implementation of the said Offer till such time the terms are modified as per the prevailing/ amended law at that point of time. In the event, that the Offer cannot be continued without total compliance of the prevailing law at any point of time, this Offer shall be deemed to be terminated forthwith from the date when the amended law restricting / prohibiting the Offer comes into force.
24. This Offer shall be subject to all applicable laws, rules and regulations which are in existence and which may be promulgated anytime by any statutory authority.
25. By availing this Offer, it would be deemed that the New Advertiser has given consent to contact the New Advertiser through call, SMS or email on the details provided by them for the purpose of this Offer.
26. This Offer is valid only in India.
27. New Advertiser is not bound in any way to participate in this Offer. Any participation is voluntary and the Offer is being made purely on a best effort basis.
28. Novi shall not be responsible for any loss, injury or any other liability arising due to participation by any person in this Offer.
29. New Advertiser hereby agrees to indemnify and keep Novi harmless against all damages, liabilities, costs, expenses, claims, suits and proceedings (including reasonable attorney’s fee) that may be suffered by Novi as a consequence of (i) violation of terms of this terms and conditions by New Advertiser; (ii) violation of applicable laws; (iii) any action or inaction resulting in willful misconduct or negligence, on the part of the New Advertiser.
30. All the capitalized terms used in these terms and conditions, unless defined herein, shall have the same meaning as ascribed to them in the Agreement.
31. The Eligible Campaign and Ad Impressions pursuant to the Eligible Campaign shall be governed by and executed in accordance with the Terms. The Bonus Ad Impressions, shall also be governed and by executed in accordance with the Terms, except to the extent modified or otherwise changed by these terms and conditions.

• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services offered by the Alliance Partner. Any dispute or claim regarding the goods, services and assured gifts / prizes must be resolved by the Card Holder/s with the Alliance Partner directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any goods/ services / offer availed by the Cardholder/s under the alliance offered by the Alliance Partner.
• ICICI Bank reserves the right to disqualify the Alliance Partner/s or Cardholder/s from the benefits of the alliance if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the alliance or otherwise by use of the Card.
• The Offer is sponsored by the Alliance Partner and the Cardholder/s shall be bound by the terms and conditions stipulated by the Alliance Partner in this regard.
• ICICI Bank shall not be held liable for any delay or loss that may be caused in delivery of the goods and services.
• The Offer is not available wherever prohibited and / or on merchandise / products / services for which such alliances cannot be offered for any reason whatsoever.
• The Offer is non-transferable, non-binding and non-encashable.
• This Offer cannot be clubbed with any other Offer that may be made available to the ICICI Bank credit & debit Cards, net-banking Cardholder(s) by the Alliance Partner.
• Any tax or other liabilities or charges payable to the government or any other statutory authority/body or any participating establishment, which may arise or accrue to the ICICI Bank credit & debit Cardholders due to provision of the Offer, shall be to the sole account of the ICICI Bank credit & debit Cardholders. Tax deducted at source, if any, on the monetary value of the Offer shall be payable by the ICICI Bank credit & debit Cardholders.
