DEFINITIONS

• “Alliance Partner” shall mean “Xiaomi” who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
• ICICI Bank Credit and Debit card holders" shall mean a person who holds an ICICI Bank Savings account, loan / facility account(s), depository account(s) and/or any other type of account(s), so maintained with ICICI Bank or its Affiliate which are eligible account(s) for the purposes of ICICI Bank Credit and Debit card services and who has received communication from ICICI Bank with respect to the Offer.
• "Card" shall mean Credit card (VISA/ Mastercard/ Amex) or Debit card (VISA/Electron/Maestro), which has been issued by ICICI Bank and is valid and subsisting during the Program/Offer Period.
• Offer” shall mean such discount(s) provided by ICICI Bank.
• "Primary Terms and Conditions" shall mean the terms and conditions applicable to the ICICI Bank’s banking facility/service.
• “Products/Services” shall mean the goods/ benefits/ facilities offered by the Alliance Partner.
• “Void Transaction” shall mean any transaction where in the transaction has taken place but has been cancelled/ rejected/ unsuccessful by the Alliance Partner.
• “Offer period” shall mean offer valid from 12 March 2019 to 16 March 2019

All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

Terms and Conditions prescribed to ICICI Bank Card Holders:

• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services offered by the Alliance Partner. Any dispute or claim regarding the services and must be resolved by the Card Holder/s with the alliance partner directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any products or services availed by the Card Holder/s under the alliance offered by the Alliance Partner.
• ICICI Bank reserves the right to disqualify the Alliance Partner or the Card Holder/s from the benefits of the Offer, if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the said Offer or otherwise by use of the Card.
• The Card Holder/s shall be bound by the terms and conditions stipulated by the Alliance Partner in this regard.
• The Offer is funded by ICICI Bank and the Card Holder/s shall be bound by the terms and conditions stipulated by ICICI Bank in this regard.
• No substitutions or exchange of Offer, other than what is detailed in the communication sent to the Card Holder/s shall be allowed. However, ICICI Bank reserves the right to substitute and/or change the Offer or any of them, without any intimation or notice, written or otherwise to the Card Holder/s.
• Discount is applicable only on transactions done on Pine Labs Electronic Data Capture (EDC) machine under 'Brand EMI' option
• For eligible transactions, discount will be printed on the charge slip. Customer will not receive cashback if not eligible as per charge slip
• Customer needs to retain the copy of the Electronic Data Capture (EDC) machine charge slip for a period of 180 days
• In case of purchase made offline, customer will receive cashback of Rs 1500 instead of instant discount.
• Cashback for offline purchase will be processed within 90 days post offer end date.

Terms and Conditions prescribed by Xiaomi (Mi.com)

• This marketing program (“Offer”) is from ICICI Bank Limited (“Bank”) under an arrangement with M/s Xiaomi Technology India Private Limited (“Xiaomi”), and is open to all persons competent to contract in India holding a valid and current ICICI Bank Debit or Credit Card (“ICICI Cardholder”).
• The validity of the Offer (“Offer Period”) is from 12^th March 2019 (00:00 hours) till 16^th March 2019 (00:00 hours), unless extended by Bank and Xiaomi by mutual consent in writing.
• Under this Offer, ICCI Cardholders can avail, during the Offer Period, (i) instant discount of Rupees Fifteen Hundred Only (INR 1500) on purchase of eligible POCO smartphones from Flipkart Authorized Channels (defined below) and Mi Authorized Channels (defined below) or (ii) cashback of Rupees Fifteen Hundred only (INR 1500) on purchase of eligible POCO smartphones from brick and mortar retail outlets branded as ‘Mi Homes’ owned and operated by Xiaomi or any third party under authorization from Xiaomi, and other brick and mortar storefronts established, maintained and operated by third party selling POCO smartphones under authorization from Xiaomi including Mi Stores, Mi PPPs and other affiliated LFRs, as listed below.
• The purchases can be made via:
  1. www.flipkart.com, the related mobile website and mobile application (“Flipkart Authorized Channel”);
  2. www.mi.com, the related mobile website and mobile application (“Mi Authorized Channel”);
  3. Mi Homes
  4. Mi Stores
  5. Mi PPPs
  6. Affiliated LFRs

• Purchases from any of the outlets under III, IV and V will need to be made via pine lab authorised POS machines.
• Offer is not applicable on card on delivery transactions.
• Offer is not applicable on EMI transactions.
• Offer not applicable on ICICI Bank netbanking transactions.

Other Terms and Conditions:

• The above Offer is by way of a special offer for ICICI Cardholders only.
• The Offer cannot be combined with any other offer.
• Any person availing this Offer shall be deemed to have accepted these Offer Terms and Conditions.
• This Offer is valid for Indian residents and citizens only.
• Delinquent and over-limit ICICI Cardholders will not qualify for this promotion.
• This Offer is non-encashable, not extendable and non-negotiable.
• If an ICICI Cardholder has more than 1 (one) ICICI Bank Credit/Debit Card, spends on the cards cannot be clubbed by the card member in order to qualify for the said Offer.
• In case, the ICICI Cardholder holds more than 1(one) Credit/Debit Card with the Bank; the ICICI Cardholder would need to call up the Bank’s customer call centre and confirm which card(s) the said Offer may be availed for.
• Any query regarding the Offer will be entertained only till the Offer Period. Any issue with the Offer will only be entertained till May 16, 2019. Post such dates, ICICI Bank and Xiaomi will not entertain any correspondence or communication regarding this Offer from any persons.
• All the existing offers, gifts, discounts etc. that are being offered can be availed by the ICICI Cardholders as part of this exclusive offer as mentioned in the communication.
• Pictures of products shown in the communication sent to the customer either through mailers or advertised on the website, are representative only and may not bear a resemblance to the actual products. None of the parties shall under any circumstances be responsible towards the same.
• Returned transactions, disputed or unauthorized/fraudulent transactions will not be considered for the Offer.
• All government levies and taxes shall be payable by the ICICI Cardholder as applicable at the time the Offer is availed.
• ICICI Cardholders are not bound in any way to participate in the Offer. Any such participation is voluntary.
• This Offer shall be subject to all applicable laws, rules and regulations which are in existence and which may be promulgated anytime by any statutory authority.
• Bank and Xiaomi reserve the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary all of these terms and conditions or to replace, wholly or in part, this offer by another offer, whether similar to this Offer or not, or to extend or withdraw it altogether.
• Any person availing this Offer shall be deemed to have accepted these terms and conditions.
• Any disputes arising out of the Offer shall be subject to the exclusive jurisdiction of the courts at Bangalore.
• The Bank along with its direct affiliates is alone responsible for resolving all disputes.
