Terms and Condition

I. DEFINITIONS

  • Alliancepartnershall mean Versify Tech Solutions Pvt. Ltd., who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
  • Customer/sfor the purpose of this Offer shall mean a person who is using ICICI bank Netbanking services or holds a valid ICICI Bank VISA/MASTER Debit card/Prepaid card or holds a valid VISA/MASTER Credit Card issued by ICICI Bank and who has received communication from ICICI Bank with respect to the Offer.
  • ICICI BankNetBankingUser shall mean a person who holds an ICICI Bank savings account, loan / facility account(s), depository account(s) and/or any other type of account(s), so maintained with ICICI Bank or its Affiliate which are eligible account(s) for purposes of ICICI Bank Net Banking Service(s) and who has received communication from ICICI Bank with respect to the Offer.
  • Offershall mean instant discount/benefit provided by the "Alliance partner" on purchase of Products/Services using ICICI Bank Debit/Credit/Prepaid/Gift Card or Net Banking services.
  • OfferPeriod shall mean the period commencing from November 1, 2018 to March 31, 2019, both days inclusive.
  • "Website" shall mean the following "website" URL: https://icici.getaccountable.io of the "Alliance partner"
  • VoidTransactions"shall mean wherein the transaction has taken place but has been rejected /cancelled/ been unsuccessful at the ""website"" of the "Alliance partner".
  • "Primary TermsandConditions" shall mean the terms and conditions applicable to ICICI Bank’s Internet banking facility/service.
  • Products/Services” shall mean the goods/benefits/facilities offered by the Alliance Partner.
  • All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

The availability of the offer is based on the following criteria:

  • To avail benefits under the Offer the customer needs to hold an ICICI Bank Current Account. The Offer is valid only for select set of ICICIBankNetBankingUser(s) selected at the sole discretion of ICICI Bank and who have received communication about the Offer from ICICI Bank, during the Offer Period.
  • Participation in the Offer by the ICICI Bank Net Banking User/s is on a voluntary basis.
  • The ICICI Bank Net Banking User/s may avail the Offer during the Offer Period or until the stock lasts, whichever is earlier.
  • This Offer cannot be clubbed with any other Offer that may be made available to the ICICI Bank Net Banking User/s by the Alliance Partner.

  • Versify will provide a dedicated help number for SO. Versify can also do in-person demos along with SO if they can arrange for a group session with 5-10 SMEs in the same location

IV) TERMS PRESCRIBED BY THE ALLIANCE PARTNER

  • If subscriber uses this website, subscriber is agreeing to be bound by these Terms of Use without any modification or qualification. IF SUBSCRIBER IS DISSATISFIED WITH THE TERMS, CONDITIONS, RULES, POLICIES, GUIDELINES OR PRACTICES OF OPERATING OUR SERVICE, UNLESS EXPRESSLY SET OUT IN THESE TERMS OF USE, SUBSCRIBER’S SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE. If for any reason subscriber is unable to meet all the conditions set forth under this agreement, or if “subscriber” breaches any of the Terms of Use contained herein, subscriber’s permission to use the ACCOUNTABLE Product or access any of the Services (defined below) offered by them immediately lapses and subscriber must destroy any materials downloaded or printed from the ACCOUNTABLE Product.
  • Versify offers a number of Services offered in addition to the service offered via the icici.getaccountable.io the Accounting website (“Additional Services”), and so please note that additional terms may apply. When subscriber uses an Additional Service, subscriber also will be subject to the terms and conditions applicable to that specific Additional Service ("Specific Additional Service Terms"). Note that if these Terms of Use are inconsistent with the Specific Additional Service Terms, those Specific Additional Service Terms will control. See Section X below.
  • ACCOUNTABLE reserves the right to modify or change these Terms of Use at any time without giving prior notice. We shall, however, notify the subscriber of significant changes by posting an announcement on the Site. Subscriber’s use of the ACCOUNTABLE Product is subject to the most current Terms of Use posted on the Site at such time. The most current version can be reviewed by clicking "Terms of Use" hyperlink at the bottom of our Site pages.

The following terms shall have the following meaning throughout the Terms of Use.

  1. "Agreement" or "this agreement" refers to these Terms of Use.
  2. "Applicable law" refers to the laws currently in force in India which shall govern this agreement.
  3. "Site" means this website, all related webpages, and all related websites operated by affiliates or divisions of ACCOUNTABLE, but does not include any third party websites which are linked to or may link from this website whether or not such third party websites are used in connection with the Services.
  4. "Service" and "Services" refer to the online accounting, payroll, payment receipts and invoicing services and other small business–related services and Support offered through the ACCOUNTABLE Product from time to time.
  5. "Subscriber" refers to any person who maintains an account with us and utilizes our Services.
  6. "Support" means free and paid technical support and assistance provided to users by ACCOUNTABLE, ACCOUNTABLE Pros and other third party contractors of ACCOUNTABLE from time to time.
  7. "ACCOUNTABLE", "we", "us" shall refer to Versify. and all its affiliates and subsidiaries.
  8. "ACCOUNTABLE" means the Site and all mobile applications and other applications which provide access to the Services offered by ACCOUNTABLE and its affiliates from time to time.
  9. "ACCOUNTABLE Parties" includes ACCOUNTABLE, its affiliates, subsidiaries, partners, service providers, suppliers and contractors and each of their respective officers, directors, agents, and employees.
  10. "ACCOUNTABLE Pros" means the persons and entities who have voluntarily registered with ACCOUNTABLE to be listed on the Site as members of the ACCOUNTABLE Network in order to offer, for their own account, various technical support, financial consulting, accounting and bookkeeping services to ACCOUNTABLE users.
  11. "ACCOUNTABLE Network" means the online community of ACCOUNTABLE Pros listed on the Site from time to time.
  12. "Subscriber" and "user" shall refer to any person who visits the Site or uses the ACCOUNTABLE Product and includes a subscriber and its employees and agents.
  • ACCOUNTABLE grants subscriber a non-exclusive, non-transferable limited license to use the ACCOUNTABLE Product and related resources in accordance with these Terms of Use. Subscriber agrees not to infringe our intellectual property and the intellectual property of any third parties with whom we have partnerships, and subscriber shall comply with the terms of any applicable license agreements.
  • Subscriber acknowledges that subscriber must provide for subscriber’s own access to the World Wide Web and pay all costs associated with such access and with the use of the Services, as well as procure all equipment that is necessary in order to access the World Wide Web and use the Services, including but not limited to a computer, a modem, a printer, and in some cases a mobile device, tablet computer or other equipment. Subscriber shall also be responsible for the maintenance of such equipment.
  • Subscriber agrees that any notices, disclosures, agreements and other communications that we may deliver or communicate to subscriber from time to time comply with the terms of any applicable electronic documents legislation, including the requirement that such documents be in writing, are capable of being retrieved, reviewed, printed and stored for further use by subscriber.
  • Subscribers to certain ACCOUNTABLE Product may provide password access to authorized users (called Guest Collaborators). An authorized user is a user designated by subscriber via the Guest Collaborator functionality available in the ACCOUNTABLE App. Such authorized users may have access to the information and perform various tasks as instructed by the subscribers which include but not limited to sharing files, creating invoices, managing files any other lawful tasks that the subscriber may prescribe. If subscriber administers their ACCOUNTABLE account on behalf of a business or corporation, subscriber represents and warrants that subscriber has the right to provide passwords and access credentials to subscriber Guest Collaborators.
  • ACCOUNTABLE may, without notice or liability, add, discontinue or revise any aspect, mode or design of the Services which include but not limited to the scope of service, time of service, or to the software/hardware required for access to the Services. ACCOUNTABLE may also limit the geographic locations or jurisdictions where certain Services may be available.
  • Without prejudice to the foregoing, should there be a failure of or error, omission, defect, deficiency, delay causing downtime, or inability of a subscriber to access the Services for any length of time, including as a result of the permanent termination of service, the subscriber acknowledges and agrees that, except as otherwise set out herein, its only remedy for any error, omission, defect, deficiency, delay or other failure of the ACCOUNTABLE Product or the Services whatsoever is to discontinue using the ACCOUNTABLE Product and the Services.
  • The subscribers and the users shall be responsible for maintaining the confidentiality of their usernames and password, and the subscriber will be responsible for all activities performed under their passwords, as well as unauthorized use.
  • Subscriber assumes sole responsibility for and shall ensure that any information, data, documents or materials used, disclosed, entered into or created using the ACCOUNTABLE Product or in connection with the Services is accurate, reliable and complete and does not violate our content guidelines. Subscriber represents and warrants that subscriber has obtained all required consents and comply with all applicable legislation, including without limitation privacy legislation, in connection with any use and disclosure of information relating to the use of the ACCOUNTABLE Product and the Services. ACCOUNTABLE accepts no responsibility for the accuracy of any information, data, documents or materials entered into or created using the ACCOUNTABLE Product or the Services except as otherwise set out herein. The input, posting or uploading of any information and the storage of any information, data, documents or materials on the Service by us does not constitute our endorsement nor warranty as to the compliance of such information or materials with applicable legislation, nor to the accuracy, timeliness, materiality, completeness, or reliability of such information or materials.

C. Pricing.

  • ACCOUNTABLE Software offer: - The discount shall be 100% off per month on purchase of the Alliance Partner’s software product "ACCOUNTABLE" Silver subscription per month for Rs. 600 for a period of 12 months. The discount shall be available on the MRP (inclusive of all taxes) and shall be calculated on the total value of the transaction.
  • ACCOUNTABLE BPO Services offer:- In addition to software, Versify in partnership with third party service provider or on own offers book keeping, GST filing & other value added services on which the discount of 10% will be provided for ICICI Bank customers for the first year of subscription
  • The BPO Services will have packages of "Gold" - starting at 3,000 INR per month and upwards and focusing on GST related services and "Platinum" - starting at 6,000 INR per month focusing on book-keeping. The actual price will be agreed based on the volume of work with the customer and a 10% discount will be provided for customers on the first year of subscription.

D. Conditions of Usage.

  • Subscriber agrees to use the ACCOUNTABLE Product and the Services for the purposes that they were intended and only in accordance with the terms of this agreement.
  • If subscriber registers an account, subscriber agrees, represents and warrants that subscriber will provide us with true, current, complete and accurate information requested in the registration form and from time to time in connection with subscriber’s use of the ACCOUNTABLE Product. Subscriber’s registration for any of the ACCOUNTABLE Product constitutes consent to use any personal information which subscriber provides us in such registration for the purposes set out in our Privacy Policy and for all uses ancillary thereto for which subscriber‘s consent may reasonably be implied. Subscriber also will select a user name and password. Subscriber is responsible for keeping their user name, password, account details, and all information required in connection with subscriber’s use of the ACCOUNTABLE Product (eg. employee information if subscriber uses ACCOUNTABLE Payroll) confidential and up to date. If subscriber is not the business owner and is registering an account on behalf of a business, subscriber represents and warrants that subscriber has been authorized and directed by subscriber’s business's principals to open the account and that subscriber has shared all user names, passwords and access credentials with other authorized representatives in subscriber’s business and that subscriber has provided us with the business contact information of at least one other person. If subscriber leaves the business and subscriber’s business's principal contacts us we may be required to provide access to the ACCOUNTABLE account. Subscriber agrees to hold harmless and release the ACCOUNTABLE Parties from any liability if we do so.
  • Furthermore, subscriber is entirely responsible for any activities that occur under subscriber’s account. Subscriber agrees to notify us immediately of any unauthorized access to or use of subscriber’s account. Subscriber agrees to hold harmless and release the ACCOUNTABLE Parties from any loss or liability whatsoever that subscriber may incur as a result of someone other than subscriber using subscriber’s username, password or account, either with or without subscriber’s knowledge. Subscriber agrees to indemnify the ACCOUNTABLE Parties for any damages, third party claims or liabilities whatsoever that we may incur as a result of activities that occur on or through subscriber’s account, whether or not subscriber was directly or personally responsible.

E. Online Access to Financial Institutions, ACCOUNTABLE Pros and Other Services.

  • Certain online services (including access to online banking, online payments, online invoicing, digitization, storage of receipts, certain payroll related services, the ACCOUNTABLE Network and other online services related to the use of the Site) are provided by financial institutions and other third party service providers and not by us. Subscriber agrees to hold harmless and release the ACCOUNTABLE Parties from any liability relating to subscriber’s use of such online services, including the ACCOUNTABLE Network and the ACCOUNTABLE Pros. Subscriber’s access to and conditions of use of such services may be limited in accordance with the terms of use published by such third party provider. Subscriber may be billed by subscriber’s third party provider for such services and any such fees or costs (including text, data, phone, and delivery charges) are independent of ACCOUNTABLE and will be paid by subscriber. Subscriber represents and warrants that subscriber has the right to provide us with usernames, passwords, personal information and other access credentials which we may require to access any third party services or accounts in connection with the Services.
  • If subscriber uses the ACCOUNTABLE Network, subscriber agrees that subscriber does so at subscriber’s own risk. Unless expressly stated to the contrary, ACCOUNTABLE does not pre-qualify, review, or endorse ACCOUNTABLE Pros and we provide no representation or warranty as to the background, reputation, character, qualifications, skills, insurance, work product, services, advice, recommendations or quality of the ACCOUNTABLE. If subscriber uses ACCOUNTABLE, subscriber acknowledges that subscriber is doing so at subscriber’s own risk and hereby agree to release and hold ACCOUNTABLE harmless from any or Claims arising from subscriber’s use of ACCOUNTABLE, as further set out in section I below. If subscriber signs up to use our Quick Start, Pro Coaching, or any other paid technical support service, subscriber acknowledges and agrees that such Services are offered to provide technical support in relation to the navigation, set-up, configuration, training and use of the ACCOUNTABLE Product. ACCOUNTABLE does not purport to provide subscriber with any financial or accounting advice and subscriber agrees to release and hold ACCOUNTABLE harmless for and from any Claims (as defined below) arising from subscriber’s use of ACCOUNTABLE to provide subscriber with technical support in relation to the ACCOUNTABLE Product, as further set out in section I below.
  • Sometimes subscriber can use ACCOUNTABLE in conjunction with services from other companies. What subscriber does with those other companies is up to subscriber and them to work out. That includes fees they may charge subscriber. If subscriber needs to provide ACCOUNTABLE with login credentials for that other company, in order to make things work, subscriber will only do so if subscriber has permission.

F. Software Notice.

  • In the event that a user is required to download or use software in connection with the Services, he or she shall be unable to download and access such software unless he or she first agrees to the license agreement relating to such software. Use of any such software is governed by these Terms of Use and any such license agreement.

G. Copyrights, Trade-Marks and Intellectual Property.

  • ACCOUNTABLE and its licensors and suppliers own both the proprietary rights as well as the intellectual property rights to all URLs, materials, products, web content, webpage designs, webpage layouts, images, text, tools, utilities and software that make up the Services, but excluding subscriber’s data and information which subscriber provides to us or input using the ACCOUNTABLE Product and the Services. The technical procedures, processes, concepts and methods of operation that are inherent within the ACCOUNTABLE Product constitute trade secrets. The usage of our Services does not constitute a sale or transfer of any intellectual property rights to the users. Without any prejudice to the foregoing, any information or data entered using the ACCOUNTABLE Product by a user or otherwise provided for accessing the ACCOUNTABLE Product on the user's behalf shall at all material times remain the property of the user. The user hereby grants to ACCOUNTABLE a worldwide, perpetual, royalty free, non exclusive right and licence to use all content provided by the user in connection with the ACCOUNTABLE Product and the Services for uses related to the delivery of the Services.
  • Materials on and relating to the ACCOUNTABLE Product, including the content of the ACCOUNTABLE Product and any software downloaded from the ACCOUNTABLE Product, are protected by copyright, trade-mark and other intellectual property laws. Subject to subscriber’s ownership of subscriber’s user content and data, ACCOUNTABLE reserves all rights in and to such materials. The subscriber will not make store, download, transfer, sell, reproduce, redistribute, transfer to any other server, modify, reverse engineer or copy the Services or any of the materials or software or any part of the ACCOUNTABLE Product or any content therefrom without ACCOUNTABLE's express written consent. Subscriber will also take all reasonable steps to forestall any unauthorized use, copying or transfer of materials on or relating to the ACCOUNTABLE Product.

Notwithstanding the above, subscriber may, subject to the following conditions, use individual screen displays (screen shots) which subscriber generate as a subscriber using the Services. Subscriber’s use of screen shots is subject to the following:

  1. No screen shot may be used from any beta version of the ACCOUNTABLE Product unless it has been commercially released to the public;
  2. the use is for illustrative purposes;
  3. the use may not imply any endorsement or affiliation by or with ACCOUNTABLE;
  4. the screen shot does not contain any commentary which may appear to have been attributable to us;
  5. the screen shot does not contain any third party content; and
  6. the use does not infringe on any of these terms of use.

Subscriber can take screen shots as long as:

  1. It's not a beta feature or product;
  2. subscriber is just trying to illustrate something;
  3. the screen shot doesn't suggest a relationship that doesn't exist;
  4. the screen shot doesn't suggest we said or meant something that we didn't say or mean;
  5. the screen shot doesn't contain something that ACCOUNTABLE can't give permission for; and
  6. it doesn't break any other rules.

H. Prohibited Use.

  • The users shall access the information stored using the Services for lawful purposes only and may not use such information for the purpose of committing or furthering fraudulent acts or for committing any acts that would give rise to both or either civil and criminal liability.
  • The users agree not to publish, post, upload, distribute, provide or enter any material or information that is illegal, unlawful or can be regarded as fraudulent, libelous, malicious, threatening, offensive, profane, obscene, fanning ethnic or racial tensions, immoral or any such information which any reasonable person would consider objectionable on grounds of good conscience.
  • No user shall use any means to restrict or prevent another user from accessing or enjoying the ACCOUNTABLE Product.
  • No user shall be permitted to upload material into the ACCOUNTABLE Product that he or she ought to know infringes on the intellectual property of others, or upload material that places unnecessary load as to affect the performances of our websites, systems and equipment. Subscriber may not use the ACCOUNTABLE Product and the Services in a manner which could block access to, impair, damage or otherwise disable the ACCOUNTABLE Product or any of our servers. Subscriber may not attempt to gain unauthorized access to the ACCOUNTABLE Product or to any other user's accounts, computer systems or networks through password miming, keystroke logging, hacking or any other means. Subscriber will not upload any files that contain viruses, Trojan horses, malware, spyware, worms, corrupted files or any other material or software that may damage the operation of another computer. Any and all materials uploaded are subject to applicable laws.
  • No user shall lease, sell, pledge, sublicense, assign or otherwise deal with the software belonging to ACCOUNTABLE in a manner that is inconsistent with our intellectual property rights over the software.
  • No user shall promote any commercial interest, falsify or delete any information on the ACCOUNTABLE Product, collect personal information without express authority to do so, violate any applicable laws, create a false identity or utilize the ACCOUNTABLE Product under false pretenses.

I. Limitation of Liability.

  • THE SUBSCRIBERS AND THE USERS HEREBY AGREE TO RELEASE, REMISE AND FOREVER DISCHARGE THE ACCOUNTABLE PARTIES FROM ANY AND ALL MANNER OF RIGHTS, LOSSES, COSTS, CLAIMS, COMPLAINTS, DEMANDS, DEBTS, DAMAGES, CAUSES OF ACTION, PROCEEDINGS, LIABILITIES, OBLIGATIONS, LEGAL FEES, COSTS AND DISBURSEMENTS OF ANY NATURE WHATSOEVER, INCLUDING WITHOUT LIMITATION ANY LOST PROFIT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES (COLLECTIVELY, A "CLAIM") WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER ARISE FROM, RELATE TO, OR ARE CONNECTED WITH (I) THIS AGREEMENT; (II) THE USE OF THE ACCOUNTABLE PRODUCT AND ITS SERVICES AND ANY RELATED APPLICATIONS INCLUDING THE PRO NETWORK AND THIRD PARTY SERVICES; (III) THE USE OF ANY SOFTWARE RELATED TO THE ACCOUNTABLE PRODUCT; (IV) VIRUSES, SPYWARE, SERVICE PROVIDER FAILURES OR INTERNET ACCESS INTERRUPTIONS; (V) LOSS OF USE, LOSS OF DATA, ERROR, INACCURACY OF DATA, PAYMENT FAILURE, PAYMENT DEFECT, INACCURATE CALCULATIONS (EXCEPT AS OTHERWISE SET OUT HEREIN), DOWNTIME, IDENTITY THEFT, FRAUD OR UNAUTHORIZED ACCESS; OR (VI) ANY INFORMATION, DOCUMENT, MATERIALS, TOOLS, UTILITIES, PRODUCT OR DATA THAT RELATING TO THE USE OF THE ACCOUNTABLE PRODUCT AND THE SERVICES; WHETHER SUCH CLAIM IS BASED IN CONTRACT OR TORT OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIM, OR SUCH CLAIM WAS REASONABLY FORESEEABLE AND NOTWITHSTANDING THE SUFFICIENCY OR INSUFFICIENCY OF ANY REMEDY PROVIDED FOR HEREIN OR IN ANY LICENSE.
  • FOR GREATER CERTAINTY, IN NO EVENT SHALL WE (AND OUR SUPPLIERS) BE LIABLE TO SUBSCRIBER OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT OR SUBSCRIBER’S USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE ACCOUNTABLE PRODUCT AND SERVICES ARE AT SUBSCRIBER’S OWN DISCRETION AND RISK, AND SUBSCRIBER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE, MISUSE, ERROR, OR LOSS OF DATA ARISING FROM SUCH ACCESS AND USE.
  • EXCEPT IN THE MANNER PROVIDED FOR IN THESE TERMS OF USE, ACCOUNTABLE, ITS LICENSEES, AFFILIATES, AND THIRD PARTY SERVICE PROVIDERS, DISCLAIM, AND EXPRESSLY DO NOT PROVIDE ANY DIRECT OR INDIRECT, EXPRESS OR IMPLIED REPRESENTATION OR WARRANTY AS TO TITLE, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, OR MERCHANTABILITY OR MERCHANTABLE QUALITY; OR THAT THE ACCOUNTABLE PRODUCT, THE SERVICES, ANY THIRD PARTY SERVICES AND ONLINE SERVICES, AND ANY CONTENT, MATERIALS, TOOLS, UTILITIES, SOFTWARE AND FUNCTIONALITY WILL: (I) BE FIT OR SUITABLE FOR ANY SPECIFIC PURPOSE OR INTENDED USE; (II) MEET THE USERS' REQUIREMENTS AND EXPECTATIONS; (III) BE UNINTERRUPTED, FLAWLESS, TIMELY, ACCURATE, RELIABLE, SECURE OR ERROR FREE, OR; (IV) BE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS. SUBSCRIBER EXPRESSLY ACKNOWLEDGES AND AGREES THAT THE ACCOUNTABLE PRODUCT AND THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS AND SUBSCRIBER AGREES TO USE THE ACCOUNTABLE PRODUCT, THE SERVICES, ANY THIRD PARTY SERVICES AND ONLINE SERVICES, AND ANY CONTENT, MATERIALS, TOOLS, UTILITIES, SOFTWARE AND FUNCTIONALITY RELATED TO THE ACCOUNTABLE PRODUCT AT SUBSCRIBER’S OWN RISK. SUBSCRIBER AGREES TO DETERMINE THE SUITABILITY OF THE ACCOUNTABLE PRODUCT AND SERVICES FOR SUBSCRIBER’S INTENDED USE AND AGREE TO VERIFY ALL RESULTS OBTAINED USING THE ACCOUNTABLE PRODUCT AND THE SERVICES.

J. Termination of Service.

ACCOUNTABLE may terminate this agreement and subscriber’s use of the ACCOUNTABLE Product at any time without notice, including, without limitation, if subscriber breaches any of these terms. Subscribers may use ACCOUNTABLE on an at-will basis until the agreement has been terminated by either party pursuant to the terms of this agreement or any related license agreement. The following are the ways in which the agreement between a subscriber and ACCOUNTABLE may be terminated.

  1. Subscriber follows the "Close your ACCOUNTABLE Account" instructions found on Account page.
  2. We issue notice to any party to the effect that that party has in our reasonable judgment breached this agreement or any other agreement as between the parties and upon expiration of 7 days to remedy the breach and such party failing to do so.
  3. In case of a company, upon an order or a resolution being passed for the purposes of winding up the business activities other than for the purposes of amalgamation, merger or reconstruction or upon a composition agreement being made with the creditors.

    Upon such termination, subscriber must immediately cease using the ACCOUNTABLE Product indefinitely. We may at our option immediately block subscriber’s access to the ACCOUNTABLE Product.

K. Ownership and Disclosure of Information.

Subscriber owns all of subscriber’s business's private data, content and all information which subscriber enters and uses in connection with the Services. We do not claim any rights, proprietary or otherwise over any data or information which subscriber may use or disclose in connection with the Service and the ACCOUNTABLE Product. Notwithstanding the above, there may be circumstances in which we may be required to disclose data, such as the following:

  1. For the purposes of fraud prevention and law enforcement;
  2. To comply with any legal, governmental or regulatory requirement;
  3. To our lawyers in connection with any legal proceedings; and
  4. To comply with a court order.

If we are required to disclose subscriber‘s data or information, we will use our best efforts to provide subscriber with reasonable notice in the circumstances and if appropriate the right to challenge any such request. 

L. Third Party Links, APIs and Content.

  • Subscriber may when using our Site and Services be directed to websites maintained by other third party service providers.
  • Some of the functionality of the Services and the ACCOUNTABLE Product interoperate with, and are highly dependent upon, application programming interfaces (APIs) from third parties, such as Google and Yahoo!. If at any point such third party services cease to make themselves or their APIs available to us on reasonable terms, we may cease to provide those third party services without entitling subscriber to a refund, credit or other compensation. Subscriber’s only recourse shall be to stop using the ACCOUNTABLE Product and the Services. In addition, if subscriber authorizes us to do so, we may grant third parties access to some or all (depending on the permission subscriber gives) of subscriber’s private data, content and information through our own API for use in connection with their services.
  • Subscriber acknowledges that such sites and services are completely independent of the ACCOUNTABLE Product and as we have no control over them, we accept no liability in respect of subscriber’s use, ability or inability to use them or any of the content of such sites. In addition, we may at any time in our discretion and without notice to subscriber, discontinue providing our API to such third party services. Subscriber acknowledges that any use of the products and services offered by such third party services providers (eg. for the purposes of payment processing, direct deposit services, payroll tax return preparation, filing and government remittances) will be at subscriber’s sole risk. Subscriber acknowledges that use of such third party service providers and their websites and services is, except where prohibited or modified by applicable law, subject to the terms, conditions and policies established by the third party service providers. Subscriber expressly hold us harmless and hereby release us from any liability whatsoever whether arising out of contract, tort or otherwise for and from any Claims (defined below) arising out of subscriber’s use of, or inability to use, the products and services of third party service providers whether or not such use is ancillary to subscriber’s use of the ACCOUNTABLE Product. The availability of such third party services in connection with the ACCOUNTABLE Product does not constitute an endorsement, warranty, or representation as to the fitness, suitability, merchantability, title, non-infringement, quality, or accuracy of the third party provider or its products or services.
  • For customers opting to file the GST returns through ACCOUNTABLE, we will work with multiple third party GSP's (GST Suvidha providers) who are bound by the terms and conditions of GSTN (GST network – Government of India) and ACCOUNTABLE will not be bound responsible for their performance as they are subject to the rules and regulations of GSTN from time to time. GSTN may prescribe other standards and specifications that it may deem necessary, from time to time, in its sole judgment, in relation to Accounting & GST System and such Services which shall be binding on the Client without any objection. However, we are not responsible for any service delays, errors or ommissions from their end. ACCOUNTABLE does not take any responsibility for any work done by any third party who have API links with ACCOUNTABLE.

M. Authorization to Export Data.

  • The subscriber and the user acknowledge that we may retain a copy of his/her/its transactional information gathered through the use of the ACCOUNTABLE Product and other information uploaded on the subscribers account. We shall not share personal information with anyone except in the manner provided in our Privacy Policy.

N. Force Majeure.

  • Neither party should be held liable for a delay or failure in performance of the agreement for services caused by reason of any occurrence of unforeseen event beyond its reasonable control, including but not limited to, acts of God, natural disasters, power failures, server failures, third party service provider failures or service interruptions, embargo, labour disputes, lockouts and strikes, riots, war, floods, insurrections, legislative changes, and governmental actions. The party so affected by the unforeseen event shall be so excused on a day-to-day basis for the period of time equal to that of the underlying cause of delay.

O. Severance.

  • All provisions of these Terms of Use are, notwithstanding the manner in which they have been grouped together or linked grammatically, are severable from each other. If any of these Terms of Use should be determined to be unenforceable the remaining Terms of Use shall survive and remain in full force and effect and continue to be binding and enforceable.

P. Governing Law and Dispute Resolution.

  • Except as otherwise set out herein, this Agreement shall in all respects be governed by and interpreted, construed and enforced in accordance with the Indian laws applicable therein as applied to agreements entered into and to be performed entirely within India, without regard to its choice of law or conflicts of law principles that would require application of law of a different jurisdiction. This agreement and any actions whatsoever taken by subscriber in connection herewith and with any Service, software, tool, application or functionality, will be deemed to have been performed in India. The parties hereto irrevocably submit and attorn to the exclusive jurisdiction and venue of the courts of India.

Q. Legal Status of Versify Tech Solutions Private Limited.

  • The websites icici.getaccountable.io, www.getassembly.io, www.gettreasure.io and the names ACCOUNTABLE, TREASURE, ASSEMBLY and VERSIFY are property of of Versify Tech Solutions Private Limited. a company incorporated under the Indian companies act 2013.

R. Language.

  • Subscriber and we expressly acknowledge and agree that this agreement and all related agreements, schedules, materials, licenses and policies be drafted in the English language only.

S. Privacy Policy.

  • ACCOUNTABLE's Privacy Policy is hereby incorporated into this Agreement and applies to the collection, use, disclosure, retention, protection and accuracy of subscriber’s personal information and subscriber’s business' financial information (the "Information") collected for the purposes of the Services offered through our website. The ACCOUNTABLE Privacy Policy is based on applicable legislation as well as 10 internationally recognized privacy principles, and may be updated from time to time.

T. Information Received from Third Party Services

  • The Services offered by ACCOUNTABLE allow subscribers to: direct ACCOUNTABLE to access and retrieve their own financial information maintained online by third party institutions (e.g. banks) with which they have pre-existing relationships (e.g. to maintain a bank account or pay bills); use third party service providers to accept and make payments on the subscribers' behalf; make bank deposits using third party services; file tax returns and pay tax remittances on behalf of subscribers using third parties; and other services related to the ACCOUNTABLE Product. ACCOUNTABLE works with financial institutions and other third party service providers to retrieve financial and other information for the purpose of providing the Services. However, ACCOUNTABLE does not review this information for any purpose, including but not limited to accuracy. It is entirely subscriber’s responsibility to ensure the accuracy, completeness and timeliness of any information required by us or any third party service providers in connection with any of the Services.

U. Registration Information.

  • Subscribers and users are responsible for maintaining the confidentiality of their usernames, passwords and other access credentials which allow them use the ACCOUNTABLE Product and access the Services.

V. Consumer Issues.

  • Unless subscriber subscribes only to our ACCOUNTABLE Personal application, in which case this section does not apply to subscriber, subscriber acknowledges that subscriber intends to use the ACCOUNTABLE Product and the Services for business purposes and not for individual consumer, household or domestic purposes.

W. No Waiver

  • No delay or omission to exercise any right or remedy accruing upon any breach or default hereunder shall impair any such right or remedy nor be construed as a waiver of any such breach or default or of any similar breach or default thereafter occurring, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right or remedy. No waiver (or consecutive waivers) of any single breach or default shall operate or be construed as a waiver of any subsequent breach or default.

X. Additional Terms for Additional Services

  • The use of certain Additional Services are subject to and governed by additional terms of service (i.e. the Specific Additional Service Terms, noted in the recitals at the beginning of this Terms of Use). If subscriber uses any of the Services listed immediately below, the linked Specific Additional Service-specific Term apply. In the event such additional or specific terms are inconsistent with the Specific Additional Service Terms, those Specific Additional Service Terms will control.

Y. Indian Copyright Act.

  • Some of the content provided on the ACCOUNTABLE Product from time to time may be contributed by users. Subscriber represents and warrants that any content or material provided to us does not breach the rights, including copyright, of others.
  • Subscriber agrees not to infringe on other people's copyrights.

Procedure for Reporting Copyright Infringement Claims: If subscriber believes subscriber’s copyright in any work has been infringed and such work is accessible through the ACCOUNTABLE Product, subscriber may notify ACCOUNTABLE's copyright agent pursuant to the Digital Millennium Copyright Act of 1998 (DMCA) for notice of claims of copyright infringement here, Attention: Copyright Agent. For subscriber’s complaint to be valid under the DMCA, subscriber must provide the following information when providing notice of the claimed copyright infringement, which ACCOUNTABLE may then forward to the alleged infringer:

  1. identification of the copyrighted material that subscriber believes has been infringed;
  2. identification of the allegedly infringing material on the ACCOUNTABLE Product, with sufficient detail to enable us to locate it on the ACCOUNTABLE Product;
  3. subscriber’s address, telephone number and email address;
  4. a statement that subscriber has a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  5. a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and
  6. provide subscriber’s or subscriber’s agent's physical or electronic signature.

Upon receiving subscriber’s complaint, ACCOUNTABLE may remove content that subscriber believes infringes subscriber’s copyright.

Procedure for Counter-Notification: If material that subscriber has posted to the ACCOUNTABLE Product has been taken down, subscriber may file a counter-notification by contacting ACCOUNTABLE's copyright agent, who can be reached here, Attention: Copyright Agent, which counter-notification must contain the following details:

  1. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or disabled;
  2. A statement, under penalty of perjury, that subscriber has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material in question;
  3. Subscriber’s name, address and telephone number;
  4. A statement that, notwithstanding the choice of laws and venue otherwise set out herein, subscriber consents for the purposes of this counter-notification and other proceedings under the Indian Copyright Act to the jurisdiction of the District Court for judicial district in which subscriber’s address is located or, if subscriber’s address is outside of the India, for the jurisdiction of the Courts of the India and that subscriber will accept service of process from the person who submitted a notice in compliance with the Indian Copyright Act, as generally described above; and
  5.  Subscriber’s physical or electronic signature.

NOTE THAT SUBSCRIBER MAY BE HELD LIABLE FOR DAMAGES, COURT COSTS AND ATTORNEY'S FEES INCURRED BY US, BY A COPYRIGHT OWNER, OR BY A COPYRIGHT OWNER'S LICENSEE IF SUBSCRIBER PROVIDES ANY FALSE INFORMATION, OR MISREPRESENT THEMSELVES AS THE RIGHTFUL OWNER OF COPYRIGHTED MATERIAL. SUBSCRIBER MAY ALSO BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY.
