DEFINITIONS

• "Card" shall mean an ICICI Bank VISA / MasterCard & ICICI Bank American Express Credit Card issued by ICICI Bank, that is valid and subsisting during the Offer Period (does not include ICICI Bank EMI Card, Corporate Card & Business Card and).
• "Cardholder/s" shall mean such customer/s to whom a Card has been issued and who is authorized to hold the card.
• "Instant EMI" refers to the conversion into EMI upon request by the Cardholder, of transactions performed using the retail Card on EDC (Electronic Data Capture) terminal installed at participating stores or payment gateway of online merchant/s.
• “Alliance Partner” shall mean” Paytm mall” referred to as ‘Partner’, who has entered into an alliance agreement with ICICI Bank for execution of a promotional arrangements, whereby certain promotions will be made available to Customers (as defined under the Offer Terms).
• “Offer” shall mean such benefits/services/discounts provided by ICICI Bank on purchase of products/services using ICICI Bank Credit card during the Offer Period on the Website.
•  “Offer Period” shall mean the period commencing from February 17, 2020 to February 23, 2020 both days inclusive and as further detailed under Part A below.
• “Products” shall mean the goods/benefits/facilities offered by the Alliance Partner during the Offer Period.
• “Website” shall mean the following website of the Alliance Partner: https://paytmmall.com/ (including the Paytm Mall mobile application) and Paytmmall orders on https://paytm.com and Paytmmall orders on Paytm mobile application.
• “Void Transaction” shall mean any transaction wherein the transaction has taken place but has been cancelled/rejected /unsuccessful by the Alliance Partner.
• All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

Offer Terms and Conditions

•   ICICI Bank Credit Cardholder will get additional 5% Cashback (Maximum Cashback value of Rs. 2000) upon successful completion of a transaction using EMI on Credit Card issued by ICICI Bank (hereinafter referred to as the “Bank”) on the website www.paytmmall.com and the respective mobile applications (hereinafter referred to as “Portals”). Paytm reserves the right to offer any amount/voucher/any other prize equivalent to the cost of the cashback referred to in the preceding sentence at its sole discretion. A Cardholder is any person who has been issued a Credit Card by the ICICI Bank.
• This offer is Valid on Credit Card issued by ICICI Bank and EMI Schemes availed from ICICI Bank.
• This offer will not be applicable if Credit Cardholder or seller or Paytm cancels the order and/or returns the Product and in such a case, participation in the Offer will be deemed withdrawn. It is clarified that such cancellation or return may be for any reason whatsoever.
• This offer is valid from JFebruary 17, 2020 to February 23, 2020 at 23:59:59 hours or until products last, whichever is earlier (hereinafter referred to as “Offer Period”).
• Cardholder shall not be entitled to get Cashback more than one time per credit card during the entire Offer Period.
• The Offer is valid on limited Products during the Offer Period, subject to a minimum transaction amount of INR 5000 (Rupees Five thousand only) for each such transaction made by the Cardholder using ICICI Bank Credit Card.
• Additional 5% cashback (Maximum of Rs. 2000) would be given on the value spend using ICICI Bank Credit (minimum transaction amount of INR 5000 )
• Offer is Valid on selected products in TVs, ACs & Appliances, Electronic and Mobiles Category.
• Offer is not valid on EMI selected at the OTP page
• Cashback will be credited to Cardholder’s Credit Card on or before May 23, 2020
• This offer is over and above the existing promotional offers on Paytm.
• Offer is being made purely on a "best efforts" basis and is valid for a limited period only. Paytm reserves the right to amend, modify, change, add or terminate these T&C or discontinue this Offer without any further notice at its sole discretion without any prior notice and the same shall not be disputed by the Cardholder.
• The Cardholder shall not be entitled to the Cashback in the event of partial/full cancellation of transaction by either the Cardholder / brand partner selling on the Portal / Paytm and Cashback, if paid, would be recalled by Paytm or ICICI Bank. Any failure on part of the Cardholder to comply with any T&C or the directions issued by Paytm, if any, for claim of Cashback shall entitle Paytm to forfeit the Cashback, at its sole discretion.
• Paytm reserves the right to revoke the offer any time as deemed fit.
• ICICI Bank reserves the right to disqualify Cardholders from the benefits of the offer if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the said Offer or otherwise by use of the Credit Card.
• Delinquent and over-limit Bank's credit card members will not qualify for this offer.
• Participation in the offer is purely voluntary and Cardholders are not bound in any way to participate.
• All disputes between Cardholders and Bank will be resolved between Bank and Cardholder, and Paytm will not (nor will be liable or obliged to) mediate or resolve any dispute or disagreement between Cardholders and Bank.
• This offer is not valid on corporate, commercial cards issued by the Bank.
• This offer is not valid if any other credit card is used other than ICICI Bank.
• This offer is not available on: (i) purchase of product(s) other than the Product(s) eligible on the offer, or (ii) purchase of Product using a card other than the Credit Card
• Under no circumstance will benefit being offered under this Offer be settled with cash in lieu by Bank or by Paytm.
• Paytm has no role to play pertaining to the Credit Card including but not limited to its issuance, approval, any extension, pre-closure, or closure of any facility using the Credit Card and such matters are solely determined by the Bank.
• The Cardholder’s use of the Credit Card is also governed by the terms and conditions of the agreement between the Cardholder and the Bank.
• The Cardholder hereby agree that Paytm has no role in this regard and the Cardholder will not bring any claims against Paytm for any refund of any amount paid to the Bank for such order.
• Please contact the Bank for any queries in relation to the Credit Card. Please call at the number mentioned at the back of your card.
• Any person availing this Offer will be deemed to have accepted the T&Cs.

Other Terms & Conditions by Alliance Partner

• By participating in this offer, the customer agrees to be legally bound by and abide by these terms & conditions. You confirm and acknowledge that you have read, understood and agree to conform to these terms and conditions. If you do not agree to these terms & conditions, please do not participate in this offer.
• This offer is organized and administered by Paytm E-Commerce Private Limited, a company having its registered office at 1st Floor, Devika Tower, Nehru Place, New Delhi - 110019 and corporate office at B-121, Sector 5, Noida, UP 301301 (hereinafter referred to as “Paytm”).
• To participate in this offer, you (i) should have a Paytm account (ii) should be of or above 18 years of age (iii) must be a resident of India, (iv) should be a ICICI Bank Cardholder.
• You also consent to your personal information being shared by Paytm with its affiliates, merchants and service providers and to your personal information being processed and stored in the servers of Paytm or its service providers, inside or outside India.
• You acknowledge and agree that all copyright and trademarks and all other intellectual property rights in the SMS content, Website, Portals, and all material or content related to the offer shall remain, at all times, owned by Paytm and/or their respective owners. • Subject to any applicable law, all warranties of any kind whatsoever, whether express or implied, are hereby expressly disclaimed by Paytm.
• In all matters relating the offer, the decision of Paytm shall be final and binding in all respects.
• We reserve the right to modify/change / withdraw all or any of the terms applicable to the offer, without assigning any reasons or without any prior intimation whatsoever.
• We reserve the right to disqualify any Credit Cardholder from the benefit of the offer if any fraudulent activity is identified as being carried out for purpose of availing the benefits under the offer or by using Paytm website.
• In no event, the entire liability of Paytm for any dispute arising in connection with the Cashback offer shall exceed the cashback amount that the Cardholder is entitled to under the said offer.
• Paytm in no event shall be liable for any incidental, consequential and financial losses/damages in any event whatsoever. You shall indemnify and keep indemnified Paytm and their officers, directors, employees, customers, affiliates and agents harmless from and against any and all claims, losses, suits, proceedings, action, liabilities, damages, expenses and costs (including attorney’s fees and court costs) which Paytm may incur, pay or become responsible for as a result of breach or alleged breach of your representations or obligations, fraud, misuse of your Paytm Wallet, any failure by you to comply with applicable law and any third party claim in respect of misuse of any information of a third party.
• Paytm shall not be liable for (i) any claims or grievances’/ defects/deficiencies solely attributable to the online partner’s to whom the payment is made/to be made (ii) any claims arising due to Force Majeure events or situations beyond its reasonable control.
• Tax liability, if any, will be borne by Cardholder.
• This offer is being made purely on a “best effort” basis. Cardholders are not bound in any manner to participate in this offer and any such participation is purely voluntary.
• Other Terms & Conditions and Paytm policies may apply.
• All issues / queries / complaints / grievances relating to the offer, if any, shall be addressed to customer support on care@paytm.com.
• All disputes shall be governed by laws of India and shall be subject to exclusive jurisdiction of the courts at New Delhi.

Terms & Conditions prescribed by ICICI Bank

• The Offer is valid only for select set of Customers i..e. ICICI Bank Credit Cards User(s) and who have received communication about the Offer from ICICI Bank and/or Alliance Partner, for the Offer.
• Participation in the Offer by the ICICI Bank Credit cards is on a voluntary basis.
• The ICICI Bank Credit Cards User/s may avail the Offer during the Offer Period or until the stock lasts, whichever is earlier.
• This Offer cannot be clubbed with any other Offer that may be made available to the ICICI Bank Credit Cards User/s by the Alliance Partner.
• The Offer is non-transferable, non-binding and non-encashable.
• The Offer is not valid for Void Transactions
• ICICI Bank does not guarantee and make any representation about the usefulness, worthiness and/or character of the discount / benefit or of the Products/Services under the Offer provided by the Alliance Partner.
• Any tax or other liabilities or charges payable to the government or any other statutory authority/body or any participating establishment, which may arise or accrue to the ICICI Bank Net Banking User/s due to provision of the Offer, shall be to the sole account of the ICICI Bank Net Banking User/s. Tax deducted at source, if any, on the monetary value of the Offer shall be payable by the ICICI Bank Net Banking User/s.
• All issues / queries / complaints / grievances relating to the Offer, if any, shall be addressed to Alliance Partner directly at without any reference to ICICI Bank. The same shall be addressed by Alliance Partner, only up to a period of 2 days after the date of transaction/purchase. However, the issues related to transactions shall be addressed to ICICI Bank.
• The existence of a dispute, if any, regarding the Offer shall not constitute a claim against ICICI Bank and shall be addressed directly by the "Alliance partner"
• The Offer is not available wherever prohibited and / or on products / services for which such offers cannot be made available for any reason whatsoever.
• ICICI Bank/Alliance Partner reserves the right to modify/ change all or any of the terms applicable to the Offer without assigning any reasons or without any prior intimation whatsoever. ICICI Bank/ Alliance Partner also reserves the right to discontinue the Offer without assigning any reasons or without any prior intimation whatsoever.
• If the ICICI Bank credit card User ceases to be an ICICI Bank credit card User at any time during the currency of the Offer Period, all the benefits under the Offer shall lapse and shall not be available to the ICICI Bank Net Banking User.
• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services offered by the alliance partner. Any dispute or claim regarding the goods, services and assured gifts / prizes must be resolved by the Card Holder/s with the alliance partner directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any goods/ services / offer availed by the net banking / Pockets user(s) under the alliance offered by the Alliance Partner.
• ICICI Bank reserves the right to disqualify the ICICI Bank Credit Card user(s) from the benefits of the alliance if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the alliance or otherwise by use of the Card
• The Offer is provided by the Alliance Partner and the ICICI Bank Credit Card user(s) shall be bound by the terms and conditions stipulated by the Alliance Partner in this regard
• ICICI Bank shall not be held liable for any delay or loss that may be caused in delivery of the goods and services
• The Offer is not available wherever prohibited and / or on merchandise / products / services for which such alliances cannot be offered for any reason whatsoever
