Terms and Condition

I. DEFINITIONS

• “ICICI Bank Net Banking User” shall mean a person who holds an ICICI Bank savings account, credit card account(s), Pockets account(s), depository account(s) and/ or any other type of account(s), so maintained with ICICI Bank or its Affiliate which are eligible account(s) for purposes of ICICI Bank Net Banking Service(s) and who has received communication from ICICI Bank with respect to the Offer.
• “ICICI Bank Net Banking Service(s) “shall mean internet banking services of ICICI Bank offered to ICICI Bank Net Banking User.
• “Products/Services” shall mean HOOQ-branded subscription video on demand service offered by the Alliance Partner.
• “Website” shall mean the following website of the Alliance Partner: www.hooq.tv
  
  All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Letter of Alliance. The terms used in this Annexure I (“Terms”) shall be in addition to and not in derogation of the definitions set out in the Letter of Alliance. In the event of any inconsistency between these Terms and definitions set out in the Letter of Alliance, the Terms contained in this Annexure I shall prevail.

Offer:

• 2-month free trial for the customer, post that INR 79 will be charged every month to the customer’s credit card, Only valid for ICICI Bank Credit Card users.
• Offer valid till December 31, 2017

Parties acknowledge and agree that the Offer to Customers shall be subject to:

• Customer’s consent to Alliance Partner’s “General Terms & Conditions for HOOQ” (https://www.hooq.tv/terms-of-use) and “HOOQ’s Privacy Policy” (https://www.hooq.tv/privacy-policy) that may be applicable and which is displayed to the Customer at the point of registration. For the avoidance of doubt, the “General Terms & Conditions for HOOQ” and “HOOQ’s Privacy Policy” may be subject to change at the discretion of the Alliance Partner; and
• Customer’s consent to a monthly subscription for the Products / Services whereby Customer will be charged every month the applicable subscription fee for the time prevailing (“Recurring Consent Upfront”).
• Customer Journey:
• Customer Journey can be modified/improved in future for better customer experience as per mutual agreement.

II: Redemption Process - FOR CUSTOMERS

• Download or sign in to the Website.
• Select the product(s) and add it to cart on the Website.
• Payment for the product or service selected to purchase on the Website is executed through ICICI Bank Credit Card Only
• Customer’s consent to Alliance Partner’s “General Terms & Conditions for HOOQ” (https://www.hooq.tv/terms-of-use) and “HOOQ’s Privacy Policy”
• Customer’s consent to Recurring Consent Upfront

III: TERMS PRESCRIBED BY THE ALLIANCE PARTNER FOR CUSTOMERS

• First Month subscription FREE for ICICI Bank Credit cards.
• Offer Not applicable on Corporate & Commercial Credit Cards and Debit cards
• This offer Period is not valid on net banking transactions.

IV. GENERAL TERMS PROVIDED BY ICICI BANK TO THE CUSTOMER

• ICICI Bank shall not guarantee or make any representation about the usefulness, worthiness and/or character of the discount / benefit or of the Products/Services under the Offer provided by the Alliance Partner
• All issues / queries / complaints / grievances relating to the Offer, if any, shall be addressed to Alliance Partner directly at support@hooq.tv without any reference to ICICI Bank. The Alliance Partner shall endeavor to address all issues / queries / complaints / grievances relating to the Offer within a period of 5 days after the date of the purchase of the Offer.
• The Offer is not available wherever prohibited and / or on products / services for which such offers cannot be made available for any reason whatsoever.
• The Alliance Partner and ICICI Bank/Alliance Partner shall mutually reserve the right to modify/ change all or any of the terms applicable to the Offer.

V. TERMS AND CONDITIONS APPLICABLE TO THE CUSTOMERS:

• In addition to the terms and conditions of such partners offering benefits to ICICI Bank credit/debit cardholders, the following terms are applicable to the Offer.
• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the Products/Services offered by the Alliance Partner on www.hooq.tv or through the mobile application. Any dispute or claim regarding the Products/Services must be resolved by the Customers with the Alliance Partner directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim arising solely out of use of the Products/Services by the Customers under the Offer provided by the Alliance Partner.
• ICICI Bank reserves the right to disqualify Customers from the Offer if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the Offer.
• ICICI Bank shall not be held liable for any delay or loss that may be caused in delivery of the goods and services.
• The Offer is not available wherever prohibited and / or on merchandise / products / services for which such programs cannot be offered for any reason whatsoever.
• Communication of the Offer: The Offer shall be communicated to the Customer/s in such manner as ICICI Bank may deem fit in this regard, subject to Alliance Partner’s prior written approval of any such communications. For the avoidance of doubt, in such communication to the Customers, ICICI Bank shall notify Customers that the Offer is subject to Customers’ acceptance of Alliance Partner’s “General Terms & Conditions for HOOQ” (https://www.hooq.tv/terms-of-use) and “HOOQ’s Privacy Policy” and Recurring Consent Upfront. The following channels of communication will be used to promote the offers: Direct Mailers, SMS and other mutually agreed channels.
