Definition

• “Alliance Partner" shall mean "Flipkart Internet" referred as www.flipkart.com, who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
• “Card" shall mean an ICICI Bank VISA / MasterCard Credit Card issued by ICICI Bank, that is valid and subsisting during the Offer Period (does not include ICICI Bank EMI Card, Corporate Card, Business Card and ICICI Bank American Express Credit Card).
• "Cardholder/s" shall mean such customer/s to whom a Card has been issued and who is authorized to hold the Card.
• “Customer” shall mean such person who holds a valid Card issued by ICICI Bank and to whom Offer has been communicated.
• "Instant EMI" refers to the conversion into EMI upon request by the Cardholder, of transactions performed using the retail Card on EDC (Electronic Data Capture) terminal installed at participating stores or payment gateway of online merchant/s.
• "Primary Terms and Conditions" shall mean the terms and conditions applicable to the Card in addition to these Terms and Conditions.
• “Offer”: 5% instant discount on EMI transaction using ICICI Bank Credit cards for minimum purchase of Rs.8,999 on Flipkart.com and Flipkart App.
• Offer Period" shall mean period commencing from March 23 to March  27, 2020 (both days inclusive)
• “Void Transaction” shall mean any transaction wherein the transaction has taken place but has been cancelled by the merchant prior to settlement with ICICI Bank.
• This marketing program is being run by ICICI Bank () on www.flipkart.com, Flipkart mobile app and Flipkart mobile site (collectively referred as “Platform” ). Platform is owned and operated by Flipkart Internet Private Limited. It is open to all residents of India holding a valid and current ICICI Bank Credit Card (Cardholder and Card).

b.) Offer Details :

•  The Offer is valid from March  23 to March  27, 2020 (Offer Period).
• To avail the Offer, customer must do/ fulfil the following:
  1. Age must be 18 years or above;
  2. Must have a valid account on the Platform and log into the same
  3. Purchase an eligible product.
• Offer will apply only if the amount paid through ICICI Bank Credit Cards against the eligible product(s) is equal to or more than Rs 8,999, i.e. the total value of only the eligible product/s in the cart after all applicable discounts and exchange offer redemptions, as defined in the grid above.
• The Offer is only applicable on EMI transactions on ICICI Bank retail Credit Cards.
• Offer is not applicable on ICICI Bank EMI Card, Corporate Card, Business Card and ICICI Bank-American Express card.

c.) Other Terms and Conditions – Prescribed by Alliance Partner

• This Offer is not applicable on transactions made through Internet Banking.
• The Offer is not applicable on Card-on-delivery transactions.
• The Offer is not applicable on Gift Wrap or premium delivery charges.
• The Offer cannot be combined with any other ICICI Bank offer and cannot be transferred or assigned to any other person/Cardholder.
• The Offer is only applicable in India and transactions done in INR currency.
• Participation in the Offer by the Cardholders is on a voluntary basis and the Offer is being made purely on a best effort basis.
• All services offered are at the sole discretion of ICICI Bank.
• ICICI Bank or Alliance Partner reserves the right to modify/change all or any of the Terms and Conditions applicable to the Offer without assigning any reasons or without any prior intimation whatsoever. ICICI Bank or Alliance Patner also reserves the right to discontinue the Offer without assigning any reasons or without any prior intimation whatsoever.
• Notwithstanding anything contained herein, ICICI Bank reserves the right at any time at its absolute discretion without prior notice to vary, withdraw, cancel, or invalidate the Offer without having to give a reason thereof, and without compensation whatsoever. Further, ICICI Bank has the discetion to reject any claim in the event of irregularity, discrepancy, or dispute, and its decision shall be final, conclusive and binding.
• All claims against ICICI Bank, if any, are subject to the exclusive jurisdiction of the competent courts/tribunals of Mumbai.
• ICICI Bank reserves the right to disqualify the Offer or Customer/s/Cardholder(s) from the benefits of the Offer if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the Offer.
• The Offer is not available wherever prohibited and / or on products / services for which such offers cannot be made available for any reason whatsoever.
• Any query regarding the program will be entertained until Jun 27, 2020. Post such date, Alliance Partner or the ICICI Bank will not entertain any correspondence or communication regarding this Offer from any persons
• All liability with respect to the products purchased lies with the respective seller and neither Alliance Partner nor the ICICI Bank shall be in any way responsible for the same.
• Delinquent and over-limit Cardholders will not qualify for this Offer.
• Nothing herein amounts to a commitment by ICICI Bank to conduct further, similar or other Offers.
• The above Offer is by way of a special offer for Bank Cardholders only and nothing contained herein shall prejudice or affect the terms and conditions of the card member agreement. The terms of the above schemes shall be in addition to and not in derogation of the terms contained in the card member agreement.
• Pictures of products shown in the communication sent to the customer either through mailers or advertised on the Platform, are representative only and may not bear a resemblance to the actual products. None of the parties shall under any circumstances be responsible towards the same.
• Products under this Offer are subject to availability from the respective participating merchants/sellers of Flipkart and accordingly Bank or Flipkart in no circumstances shall be liable for non-availability of any of the products.
• Under no circumstance will the Offer/ Offer benefits be settled in cash by ICICI Bank, Alliance Partner or seller.
• Disputed or unauthorized/fraudulent transactions will not be considered for the Offer.
• Alliance Partmer or the sellers shall not be liable for any failure by ICICI Bank to honor the transaction and for any technical issues as a result of which the transaction made by the Cardholder was not successful. Bank shall indemnify and hold Flipkart and seller harmless against any claims by the Cardholder for unsuccessful completion of the transaction. Further, Bank shall solely be liable to the Cardholder for wrongful remittance of the amounts by it, without any reference to Flipkart.
• The Cardholder shall indemnify and hold Alliance Partner , ICICI Bank and seller harmless against all damages, liabilities, costs, expenses, claims, suits and proceedings (including reasonable attorney fee) that may be suffered by such sellers as a consequence of (i) violation of these terms and conditions, of the terms of user agreement, privacy policy (subject to change) as mentioned on the Platform; (ii) violation of applicable laws; and (iii) any action or inaction resulting in willful misconduct or negligence on the part of the customer.
• All government Levies like Sales Tax, TDS, any Local Tax, Octroi etc., shall be payable by the Cardholder as applicable at the time the respective Programs were offered.
• This Offer shall be subject to all applicable laws, rules and regulations which are in existence and which may be promulgated anytime by any statutory authority.
• This Offer is valid only in India. The minimum age of such Cardholder must be 18 years.
• Further, as required by applicable law, in the event that the Cardholder makes a purchase of an amount equal to or above Rs. 2 00 000.00, the Cardholder will be required to upload a scanned copy of his/her PAN card on the Platform, within 4 days of making the purchase, failing which, the purchase made by the Cardholder will be cancelled. The requirement to submit the PAN card arises only once and if it has been submitted once by the Cardholder, it need not be submitted again. The order of the Cardholder will be cancelled if there is a discrepancy between the name of the Cardholder and the name on the PAN Card.
• This document is an electronic record in terms of Information Technology Act, 2000, and the Rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Other Terms and Conditions – Prescribed by ICICI Bank

• All residents of India holding a valid and current credit card issued by the Bank (excluding ICICI-Amex Cards) ("Card") are eligible to avail the Offer ("Cardholder").
• The participation in the Offer is entirely voluntary and it is understood, that the participation by the Cardholder/s shall be deemed to have been made on a voluntary basis.
• Terms and Conditions of ICICI Bank and third parties apply. ICICI Bank makes no representation about the quality, delivery, usefulness or otherwise of the goods/services offered by the third party. Nothing contained herein shall constitute or be deemed to constitute an advice, invitation or solicitation to purchase any products/ services of ICICI Bank / third party.
• Images used in all the communications pertaining to the Offer are for representation purpose only.
• ICICI Bank EMI Terms & Conditions will be applicable on EMI transactions as mentioned at:https://www.icicibank.com/Personal-Banking/cards/Consumer-Cards/Credit-Card/low-interest-emi-products/instant-emi/terms-and-condition.page
• If the Cardholder/s ceases to be Cardholder/s at any time during the subsistence of the Offer, all the benefits under the Offer shall lapse and shall not be available to the Cardholder/s.
• All disputes are subject to the exclusive jurisdiction of the competent courts/tribunals of Mumbai.
• All communication / notices with regard to this Program should be addressed to "ICICI Bank Ltd., ICICI Bank Phone Banking Group, P. O. Box No. 20, Banjara Hills, P. O. Hyderabad - 500034".
• In all matters relating to the Offer, the decision of ICICI Bank shall be final and binding in all respects.
• These Terms and Conditions shall be in addition to and not in substitution / derogation to the Primary Terms and Conditions governing the Credit Cards. All capitalized terms used but not defined herein shall have the respective meanings ascribed to it in the Primary Terms and Conditions.
• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services offered by the merchant. Any dispute or claim regarding the goods and services must be resolved by the Cardholder/s with the merchant directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any goods/ services availed of by the Cardholder/s under the offer.
• ICICI Bank reserves the right to modify/ change all or any of the terms applicable to the Offer without assigning any reasons or without any prior intimation whatsoever. ICICI Bank also reserves the right to discontinue the Offer without assigning any reasons or without any prior intimation whatsoever.
• ICICI Bank and/orAlliance Partner do not endorse any of the products or brands being offered on Flipkart.com/Flipkart App and will not accept any liability pertaining to the quality, merchantability, fitness, delivery or after sales service of such products.
• ICICI Bank reserves the right to disqualify any merchant or Cardholder/s from the benefits of the Offer if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the Offer.
• All taxes, duties, levies or other statutory dues and charges payable in connection with the benefits accruing under the Offer shall be borne solely by the Cardholder/s and ICICI Bank will not be liable in any manner whatsoever for any such taxes, duties, levies or other statutory dues.
• The Offer is not available wherever prohibited and / or on merchandise / products / services for which such programs cannot be offered for any reason whatsoever.
